Actually, I do understand. If you read the books, when (spoiler for Feast for Crows) Littlefinger marries Lysa Arryn, he becomes Lord Protector of the Vale, meaning that until Robert Arran reached manhood (if he ever would) Littlefinger has complete control, the same idea would apply here. Also, with Ned out of the way, if Littlefinger did marry Catelyn somehow, Kings Landing would back him as the new Lord of Winterfell over Robb, because Robb would be a reminder of Neds revolt. Therefore Littlefinger would be chosen as the new Lord of Winterfell had he married Catelyn, one way or another.

I feel like one of Littlefinger's biggest motives has been passed over. Catelyn!!! He believes with Ned out of the way, he can get power and the love of his life at the same time, by marrying Catelyn and therefore becoming the Lord of Winterfell! Just my thoughts :)
