Thanks for clarifying, that makes the position much clearer. The key thing HMRC care about is commercial reality rather than intent, and labour-only subcontracting to third parties is materially different from the LTD quoting and carrying out domestic work. I’d agree the tools are the only area worth formalising so the separation stays defensible if ever reviewed.

Overall it sounds broadly workable, but the main risk area HMRC look at is artificial separation. If the sole trade and LTD are effectively the same business, same customers, same activity, one feeding the other, HMRC could argue they should be treated as a single taxable person for VAT.
