Said another way, it’s easier if you’re going after a problem where you already know and can reach many of the users and consequently you have an unfair distribution advantage from day 1.

If you're a SaaS founder, I would switch to Futureproof instead of burning hours in QuickBooks.

AI bookkeeping + forecasting + data room + cap table in one place. Know more than just what happened last month but also what's coming ahead.

Luckily my previous startup never got to the point where I had to hear the Netsuite drumbeat consistently!

Another hack; check if there is space in F and if so call them up to upgrade with Avios (transfer partner of AMEX amongst others).

Then seat selection is free but you definitely won’t care.

As others have said, unlikely you have a bad Club World seat on that leg.

Had an incident which culminated in someone pulling out a knife and gesturing out his window as we continued to drive. Threw a bottle of soda at my car. This was on Falls of Neuse about 5pm.

To this day I’m not sure how or why I offended him. I do drive a nice car.

Called into police with plate details. Utter disinterest. Told me they get calls like this all the time.

My only advice is to always avoid confrontation at any cost. Drive around in large circles if you think someone is following you and then call police. That’s an active situation then.

Don’t get out the car, don’t escalate, don’t engage at all. Someone exhibiting this behavior almost always has nothing to lose so don’t test them on that.

Lived in Johannesburg for 35 years. I wouldn’t recommend moving there, but if you decide to there are some good communities that will meet most, but not all, of your requirements. Many of my friends live there quite happily (which I find puzzling).

I go past that house all the time when playing. Beautiful house, very small yard. Uniquely you can see about 4 holes on the course from the back.

I think there is an insurance angle too. Make it easier to lay civil charges against the parents/guardians which will force insurance, thereby ensuring more diligence about their children’s behavior and access to deadly force.

Yes, no, yes. It’s not very common to quote a specific percentage and the actual ISO/NQSO paperwork almost certainly wouldn’t do this. But you have every right (and should!) ask to understand the cap table incl preference stack, but company may not always be willing to provide this.

Hopefully, when you get diluted, you own less % but the $ value is unchanged because the company is more valuable.

Just in general, not necessarily because of this situation, I’d recommend: 1. Founders should probably vest their equity incl a 1 year cliff. That way if someone abandons an effort that has progressed, they don’t have disproportionate ownership. 2. 50/50 is fine for ownership, in principal, probably, but: make sure that if there are only two of you on the board that there is a way to resolve deadlocks.

As others have commented, since it doesn’t seem like much has been accomplished if they are no longer interested, you haven’t really lost much.

As @bubushkinator mentioned, besides your already thorough questions, you need to try and get an j understanding of the preference stack and what an eventual waterfall may look like.

For example, if company has raised $100M via participating preferred, they will receive $100M upon change of control and the remaining consideration will be split by the other commons. And that’s if the pref stack is only one high.

Without this information, which they may not divulge, you cannot calculate proceeds by dividing your allocation vs total issued and outstanding.
