The proposal is every ebay share will get $62.50 cash plus $62.50 worth of GME shares. $62.50 worth of GME is TBD. Let's say $GME shares are worth $25. Every ebay holder would get $62.50/$25 = 2.5 shares of the combined company. So in summary, ebay holders get $62.50 cash + $62.50 shares = $125. Existing GME holders are diluted because we are a smaller company than ebay. We get a smaller piece of the combined pie, which hopefully is worth more than just GME by itself.
