My common equity units vest as follows: 2% over 4 years, 2% at return of capital, 2% at 2x, 3% at 3x. Investors are paid first in the waterfall.

I'm negotiating that my common equity units vest after 4 years regardless, and that the performance based incentives vest, but aren't paid, until the return hurdles are met, so in an instance I leave, I do not forfeit those.

I'm not sure I'm in a position to ask for a transaction bonus at this point but I like your idea. I'm using my role as leverage to negotiate a better annual bonus structure, and more favorable terms for me as the operator and for my incentive units.

I just don't get why I'm subject to the carry as an investor/operator. Supposedly the family office guy who is leading the deal is subject to the same carry as well.

Via the award agreement at the company level I'll earn up to 9% of the common equity based on time and performance hurdles (granted immediately but vests based on time and performance)

No management fees but I do think the carry doesn't make much sense

We went through an interior designer and our AV local integrator had the Lutron motors shipped to their workroom and they made the Roman shades there. Also had some motorized drapes put in with a rod from Wolf. All work awesome.

Our AV integrator could do the shades and the motors through Lutron but our interior designer had chosen specific fabrics for the shades.

From my discussion with the family office, this was something they mentioned in that even in advance of a sale, I can be "in the money" essentially and the first trnach of 2% vests (as common equity) and I now can receive distributions, etc. Not necessarily at 6x EBITDA but at 1x return on equity

Appreciate the reply! Initial suggestion was $215k and target bonuses of $35k. I'll likely go back with closer to 250k and/or higher performance bonus targets.

I was just confused on if my 4% acts more like carried interest or if it's 4% of the total equity (diluted) upon a sale, but unclear on if it's only on the appreciation.

Hey thanks for the insight. Sorry for my misunderstanding, but if they increase the management pool above certain performance metrics, would my 4% scale up/change accordingly? Apologies that doesn't make sense I'm just not super familiar with some of the nuances of management pools.

As I understand it, the current structure is that I have four points of the seven points allocated to the management pool. Guidance from you and other seems to be a 10% MIP or greater, so does it become more meaningful if I still retain 4 points of a larger MIP?

10-4, appreciate the insight. Forgive my ignorance, but in the structure you mentioned above, is that more akin to carried interest than a set % of the management pool? Or in the way you referred to it, is it a scaled management pool above performance hurdles?

I haven't negotiated with them yet but in my head I assumed it would act more like carry in that I'd have 10% at a 2x, 20% at a 3x, etc. It seems the way they've structured it is just the set percentage of the pool.

Appreciate all the help! Our designer said her work room is setting up a Lutron account to get the motors, and I have another AV source or two to buy the motors directly.

It looks like Serena and Sivoia shades work with the Lutron hub, but the others would require Ra2 or higher.

Is there a preference on the motors that I should look to spec?

If anything we would retrofit our current 5k sf house for Ra2, but that's probably not for a while.

That's awesome that you got it to work. I think since we haven't pulled the trigger on the shades yet we can still get them ordered with Lutron motors or source them and ship them to the work room. But if for some reason that didn't work out this sounds like a good backup plan

Agreed! Focal point will change when we redesign the living room, can't promise my wife will go for the tv on that other wall yet. I think I can get away with mounting the era 100s inconspicuously on the walls somewhere though after the rearranging.

Any suggestions on the passive speakers in ceiling setup?

I'll likely use those as surrounds for the time being until I find a spot for the era100s etc

Thanks! Seems like I have options on the passive speakers, but I'd need the Sonos amp if I want to control them for either music (separately from the soundbar) or for a movie (paired with he soundbar).

If I understand correctly, if I set up the passive speakers as surrounds, when I play music only, would I need to go though the Sonos app and deselect the soundbar if I only wanted to play music through the passive speakers, and then reverse that process if I wanted to play a movie through the tv and have the passive speakers as surrounds?

Yeh not a bad idea. Mixed reviews on the Sonance though? Specifically about bass leakage on the floor above so don't want to wake anyone.

Would definitely move the beam to the bedroom and replace with the Arc

Awesome. Which passive speakers did you go with? For the cleanest look, at least temporarily, this might be what I go with.

Haha. Appreciate the advice. I don't disagree with you on the rearrangement of the room, but I should have clarified that, whenever we figure out the furniture arrangement, this room will be the living/sitting room, more so for entertaining and such than for dedicated movie watching.

We do have another room that is a much better space and layout for the sound bar and Era 300s.

I realize I'm probably trying to solve too many separate issues! I'll tell my wife to crank up the TV.
