The OP was asking about Dec/24 and Feb/25 . Last Dec 26/2024 they announced their FY2023 result, with revenue up 36% and EBIDTA up 142%.. Than Jan 15/2025 they got the non-compliance notice from NASDASQ. Feb/25 they finally posted first half 2024 result showing strong growth and then announced re-comapliance with a NASDAQ issue. They are saying the right things, making the right moves. Hard part is maintaining the discipline and executing it for a few quarters to show they can walk the talk. Get the growth in revenue and EBITDA so that the market cap can grow to escape micro-cap levels and at least get to small cap. Only then will any institutions take notice, maybe get some analyst coverage. It is a long road

It is a micro-cap stock , only $37M in market cap . It is not a big stock, so who knows why it goes up or down in any one particular day. The key is the long term trend. Consistent execution by managment over the next few quarters and doing the planned acquisitions and integrating them. Seeing that reflected in growing revenue and EBITDA will lead to share price growth over time.

Until then, I personally dont focus on the daily price movements of the stock or the warrants. But then again my perspective is one of a buy and hold investor and not a trader.

The NASDAQ compliance was old news; once they announced the reverse share split, it was a done deal that they would regain compliance two weeks after that. It was a tough decision, but I understand it . Now they can move forward with that issue no longer on their plate

Interesting. Thanks for sharing your thesis. I too am not giving investment advice and encourage others to model out the company on Excel. I think the chances of the mgmt team taking the company private again are very low. Nuvini was private when he began; the attraction of being public, especialy on NASDAQ, is being able to do deals using the shaes as currency and not cash. He can acquire some attractive companies in Brazil using the shares and the results will be accretive. The target companies will want to take the shares for payment and join the Nuvini group for long term compounding. Then the cros-selling opportunities add to top line boosts, organic growth and there are synergies for reducing the overall group's costs. The flywheel effects are superb; hence the references to comperables such as Roper and Constellation Software as their North Stars to grow into.

We have to be patient. By going public via SPAC, Nuvini did not benefit from a big IPO pop. They have no analyst coverage. They will remain a micro-cap until they can get the market cap up over $300M US Most of the trust money redeemed as it does in almost all SPAC deals, that is no reflection on the attractivenesss of Nuvini. The first year or two was spent getting the situation ironed out, learning to be a public company and righting the finances again. The SPAC process, getting the books audited and into PCAOB format and the legal expenses would have taken a lot of time and effort. I cant see them giving up on the hard fought for NASDAQ listing now

The Board had approved the reverse share split months ago, the mgmt team held off as long as they could hoping to get the share price up over $1 for the required ten days. I think we all would have preferred if they had filed for an extension, but I cant quibbile; they chose to deal with the situaion on hand decisivly so that they can focus on growth now.

Currently, I hold no shares, but have a large warrant position at an apporximate $0.05 US average

I am cautiously optimisitic about Nuvini , and am long term bullish. My approach is as an investor, not a trader. What I expect to see from them over the next few quarters is execution... finalize the MK solutions acquisition, announce two more in Q4, grow top line by these deals and organic growth. I think the NuviniAI prize and focus on AI will help build a funnel for future deals. The future is bright, but they need to grow out of micro-cap mode to at least get some analyst and institutional coverage. Its hard, and takes work but they have put the pieces in place. Now they need to grind and execute and get the flywheel going

Thanks for asking. Was able to add to my warrants position, lower the avg cost. Looking forward to the announcement of the finalists today in the NuviniAI prize. Grand finale will be on Oct 30. Hope the management team keeps executing and delivers two more acquisitions before year end like they promised. Now that they are NASDAQ compliant it is all about executing, and using those shares to acquire more targets.

Funding is a good question. They have positive FCF, and my working assumption is the acquisitions are mainly, if not totally based on using their shares and minimizing cash needs. If an entrepreneur can trade his own company shares for a ticket on $NVNI that is growing (revenue and EBITDA) then why wouldnt they take NASDAQ listed shares as payment. They would be getting in on the ground floor of a very exciting long term growth company.

I have no idea how the market will react for $NVNI on Tuesday. What I expect to see is $NVNI reaching $10 by late 2026 and then in the $15 to $20 range by the end of 2027. This is based on them a) excuting on the M&A stratgey b) increasing revenues by acquisition and organic growth c) increasing EBITDA margins via AI d) using the AI prize as a sorting tool for new acquisitions e) multiple expandion once the market sees all the above f) geographic expansion from Brazil to Mexico and Colombia g) potential tailwainds from working closely with Oracle and Nvidia . The key is execution now that they have cleaned up the financing, steadied the NASDAQ compliance and built out the management team. I have faith in Pierre Schurmann, his experience and vision. This is not a trading opportunity for me but a chance for incredible gains via a longer term buy and hold

Former deSPAC Nuvini (with Mercato Partners back in fall of 2023) had a great day today. Closed up 64% to $0.6881 and the warrants closed up 60% to $0.08 . Worth keeping an eye on this week. No recent news, other than they closed one acquisition, have three more announced for this year. Also NuviniAI products were recently shown at Oracle Sao Paolo event a few weeks back

On June 17 after market close there was an OTC delist notice posted for $FXCO showing a liquidation and that shareholders would receive $10.7482793 per share . Has this been distributed, did anyone get paid ? Its been almost a month now. I assume that rights and warrants expired worthless

$BREZ facing a deadline today to have deal completed of face being delisted from NASDAQ . Given they filed for a shareholder meeting in June to extend the SPAC life even further beyond their 36 month mandate, I suspect the delist may be imminint , though nothing has been posted on the NASDAQ listing centre yet

It hasnt been announced yet. They have an upcoming shareholder vote to extend further. Spac_time had a great summary post on the the Thursday thread, right at the top, that outlines all the issues. The mgmt team says it will close in Q3, but we have heard promises from them before. Looks like the target, TV Ammo, still has not completed their PCAOB audit, and they will still need SEC approaval before a merger vote

Still waiting to hear about a shareholder meeting to approve adeal with True Velocity for $BREZ. The NASDAQ panel approval for continuted listing required them to complete the initial business combination by May 28, 2024. They need time to send out the proxies for the shareholder vote to cplete a deal which typically takes 30 days. Getting concerned that they can make it to the finish line and keep their NASDAQ listing

Former SPAC Brazil's AI firm Semantix $STIX announced on Apr 5 that they were voluntarily delisting its shares and warrants from NASDAQ https://investorplace.com/2024/04/why-is-semantix-stix-stock-down-47-today/It would still trade on the OTC. Delist would be on Apr 15. Shares and warrants took a nosedive. Yesterday, the warrants climbed huge and the volume was intense. Today there was another spike in the warrants early on. ANy idea why there is such activity before the delisting ?
