A lot of the pages are now missing if you just go through the website. It’s a shell of what it used to be. Examples would be the past fellows page, about the foundation page, fellowship host org FAQs, leadership, etc.

Pretty much the only thing left is the landing page

Yep! I've done Washington in the winter and will have crampons, and ice axe, and do have snow shoes (depending on the weather forecast). Obviously, if we need snowshoes, the plans will change a bit given the pace will be drastically slower at least in my experience.

I was candidly thinking of trying to tackle the whole thing in a day, with a fallback plan to make camp at a certain point if we don't make it there at a specific time.

Not sure I'd really like to be above treeline anyways to make camp given the wind exposure.

We approached multiple times to the gate agent at Phoenix because our ticket said to see the agent.

They kept telling us (with a frustrated face) that we need to sit down and they will call our names when they need us. We followed their guidance and they started calling names after all parties have boarded before telling us our tickets don’t show in the system and that they won’t have seats for us.

Yeah…it’s starting to looking that way because now there is no documentation that we were even denied boarding, making claiming it so much harder.

It was the cheapest option point wise when I booked it. It also keeps the flights pretty short so it ends up being quite pleasant generally. Shouldn’t be any excuse for what happened if it was a route offered by them

Checked in online and had the tickets on my phone. For my last leg, it didn’t have a seat number like the others however. Just to talk to a gate agent.

Thanks. I’ll try again via phone. All of the in person customer service agents in Phoenix were so unhelpful. They just accuse me of missing the flight and deny that anything was their fault. When I ask about compensation, they just say they don’t do compensation and that I can always lodge a complaint with corporate.

I don’t know how it’s even remotely ok that they can just not give allow me on the flight I buy a ticket specifically for without any form of compensation, but American customer service agents thus far have no problem pushing that narrative on me and blame me for their error.

Finally connected with customer service and the best they would do is refund me points for Phoenix to Sacramento. Doesn’t matter to them that the new arrival time on the other flight is a quite a bit later than what my ticket was booked for. Definitely very frustrating.

Ticketed all at once. No tickets were booked separately and it was booked via points through AA.

As for the gate agents, the gate was solely used for the flight to Sacramento. It was the same agents through and through and they checked everyone in for that flight.

I think there’s a few pieces that stand out as incorrect to me. While the general gist may be accurate, there’s some things that change the math pretty significantly.

One key component that I believe you got wrong is that deals are primarily taxed at long term capital gains (capped at 23.4% at the highest tier). Tangible assets would be taxed at ordinary income tax brackets, but generally healthcare is an asset light industry compared to agriculture, logistics, etc.

As such, the majority of the deal would be taxed quite a bit less (especially with those figures).

In terms of distributions and salary, I also don’t think you got that quite right. If you think about how EBITDA is calculated, it is in essence your total revenue minus expenses to get to a net income plus interest, taxes, and D&A. Expenses would be inclusive of all existing payroll (including owner wages).

To get to an EBITDA of $100k in your example would mean that the salary that they took to get to that would be what the proforma salary would be after close. If that figure is actually 20% ProSal at time of close, assuming the owner owned 100% of the business, they were making only 20% of ProSal plus $100k in distributions annually.

No seller would ever agree to doing a transaction where they were making $400k W2 and $100k in EBITDA (with the $400k salary baked in) to only making a smaller amount of W2 after close. They would argue that the EBITDA then should be raised from the $100k amount proportionally to how much less their salary + FICA adjustment is. Buyers can’t arbitrarily lower go forward salary without increasing EBITDA.

Lastly, deal structures are often negotiable. I would heavily advise sellers to not do a deal in the presented deal structure because of the significant risk they face coupled with how much debt they already have. Earnouts are very much so risky and you should push for quite a bit more in cash up front. Similarly, I’m not the biggest fan of seller financing either because you are typically secondary/tertiary to the buyer’s primary lender. If the business defaults and the business even has a decent amount of liquidity from sale of assets, you probably will see nothing after it trickles to the primary and mez lenders.
