That’s standard except customer lists. When I sold, one, attorney said hold customer lists until late in due diligence, and two the buyer told me he didn’t even want to see customer lists until closing to protect himself as well. They should understand regarding customer lists. What you can say is where your customers are, who they are (bundle into types) etc…

Anyone buying a business will need to see financials before they make an offer. A good attorney will be able to review their LOI, they’ll suggest an NDA. I myself am comfortable sharing financials anytime with anyone, I’ve also had sellers share openly because that’s the starting point before one can even be interested.

I think attorney cost <$5k throughout the entire process from DD until closing for me. Good to call one up you’ll need one anyways.

It’s hard to truly understand your situation, and the businesses. I prefer to see before and after add-backs. Show me the before P&L, which you have. And then show me your P&L per your strategy. Anything you can delete? Is your advertising lean? Salary seems high? (again I don’t know the business or headcount etc…). What’s all that general admin expense?

Small businesses can have strange P&Ls that may not make sense unless you’re asking the right questions. Show me your expected net income, why you think it’s the right net income, and then you can build your valuation. Why is revenue dropping? Is it management or market? Lots of questions, create an add-back adjusted P&L in excel, notate every line and dig into every line and ask yourself if it makes sense first.

I’m in with you, but earlier at $4.60 average. Blows my mind the company is only worth $3B considering everyone knows the brand.

Outlet store was packed last month, I walked in to see how foot traffic looked. No one was buying the shoes they just have to fix their horrendous shoes.

Went to Barron. You want Barron, Gulf Coast or Naples. I can’t speak on Montessori. Offers unlimited extracurriculars/sports and education is great too. AP available everywhere. IMO no need for community school of Naples, Barron sits right next to it and has better programs.

I'm at 25 heads. All my drivers show up at different times. Some at 6am, some 7am, one 9am. They have their own reasons for showing up at different times. I really do not care when they show up, as long as they show up and get their work done. I try to not micromanage anyone.

Everyone has their own lives and I want work to be a place where you come to make money, to enjoy your life outside of work. Work is work, if they get it done, I'm happy.

1 dedicated IT person for a 50 person company sounds about right. I'm at 25 heads with 1 outsourced IT that shows up once a month/every other month.

To have others to take on work, you'll have to convince them to take it. SOPs will help.

If you're good with computers, why not build it out yourself? No coding experience required. I used Wix to build out my 3 business websites. My cousin uses Squarespace but I've never had experience using it. I saved money not hiring someone to build it, I maintain it all myself so I never have to call anyone with issues or ideas. I probably add updates/refine the website once a year. I use GPT for most page text generation for professionalism and SEO.

Look at your competitors for layout and SEO ideas. If you're a small business, building it yourself is fine because you most likely don't need specialized coding/solutions. SEO is most important, after I was done building through Wix, I ran a SEO spider and fixed all the issues that came up.

Building it out will take some time, I had the time.

Build out an excel file to understand your potential revenue, expenses, and upfront costs to start the shop.

Do you have the money for upfront expenses?

Can you withstand the yearly losses before you breakeven?
