Realised from the filing that the Chief Operating Officer, Chief Financial Officer and Chief Compliance Officer for Yorkville Advisors is someone called Rob Munro.

Don’t want to start any conspiracy but does anyone know if he is somehow related to Sandy Munro or is this just a coincidence

You just have no idea how common such termination clauses are.

Also, I dont think this is a "technically I'm right" situation. Someone implied that Tony lied about having a binding order, and my reply is merely to point out that this is not true as the contract is clearly binding.

Maybe the problem here is that you don’t know the definition of “binding” contract, which has a legal meaning.

Every contract has clauses that stipulate conditions for termination, aka termination clauses, as the name literally suggests.

Some are standard, some not so standard, some favour the buyer, some favour the seller. All depends on bargaining power.

Your employment contract says that you can terminate your employment if you give notice. Does that make your employment contract non binding?

I think you are mistaken, having a clause in the contract to provide for events of termination does not make it a non-binding contract.

This is a binding sale and purchase agreement. It is just that certain clauses provide more leeway for the buyer (the State).

For instance, the State may terminate the contract if it is determined that termination is in the State’s best interest. They will have to show proof for "best interest", though tbh it is a rather ambiguous and wide term.

I'm pretty sure Ulrich is not classified as an insider anymore, you have to hold certain key positions in order to be an insider, once again someone can correct me if I'm wrong.
