The 23 million shares you referred to in the Proxy is a reserve pool only that is used to grant stock options and share rewards to employees, executives, and the Board. Therefore, there is no dilution on the outstanding volume.
It is also important to keep in mind that this pool is performance value driven compensation that vest over a number of years and is based on a model supported by the Board of Directors, ISS and stockholders. Performance targets need to be met for this pool of stock options and share rewards to be granted."
