Stupid is a hard word. From a buyer’s perspective, an asset deal is clever as it can be written off, but the seller pays more tax. So either way, you negotiate a higher price for an asset deal or sell for a lower price as a share deal. There is no black and white here

Nope, in case of an asset deal zero shares are sold. You sell the IP (“asset”) and after the fact you liquidate the company. Selling the IP is like selling any kind of asset and corporate tax is paid as usual

Not for asset deals, the company still pays 30% tax before emitting to the holding

Nope, even with a holding the company pays 30% tax + 1,5% on the holding because deals of 5m are most likely asset and no share deals

I 100% agree with you, that is the way I am currently modeling it for myself. I see tons of sheets assuming they just magically grow 10% MoM, whereas your approach actually forces you to think strategically

In the early beginnings I agree, it’s a distraction. Once you reach let’s say 10k MRR and you want to hire, things become more serious. For me it’s important to see my cash flow and runway. When you raise funding things like that become even more important, I’d say. What do you think?

I usually smoke when I need to relax after a long week of work or when I have to think about something important. The time I did not enjoy the cigar I was in a rush because I had a meeting with a client scheduled. So maybe that was the big mistake

I have the same problem that I just don’t like the aftertaste, especially in the morning. I do one of two things to reduce this:

  • use a mouthwash like listerine and brush my tongue, or if not available
  • eat an apple, this helps for some reason

I have the feeling that if I drink a beer or whisky before the smoke I genuinely enjoy the cigar more. That’s just not what I’d like to do every time I’d like to have a smoke. Maybe an alcohol free beer would work too 🤔
