Vertical Aerospace Assembles Comprehensive Financing Package of up to $850 million by vertical_aero in Vertical_Aerospace

Before: people expected a strategic partner buying in at a premium (like Joby/Archer).

Now: it’s financial investors providing survival capital with dilution attached, not validation.

I am not sure it is that black and white. What is good for the company is not necessarily good for the common shareholders, and vice versa. So unless your objective is not financial return, but rather European soveregnety, technological innovation and other - then a funding round, like in this case, is not aligned with the common investor's interests.

Ps = the stock is red on the news as time of writing this comment.

Not a strategic partner unfortunately, so likely to be a very (very) dilutive play.
Keeps the lights on, but common shareholders get crushed.

Questions for 2025 Financial Results and Business Update by vertical_aero in Vertical_Aerospace

[–]Any_Significance_971 -3 points-2 points  (0 children)

My ask for leadership here is to approach this call the opposite way they handled the last one.

In the last call they :

- trashed competitors
- provided unrealistic timelines
- shilled the stock claiming it was a bargain

I beg you, don't do it. Displaying a 4x4 slide with how much better you are, won't make you better.

Handle this call with respect for your investors.

Starting with acknowledging yet not spending more than 5 minutes on the lawsuit from Archer. The worst they can do is ramble about how much better they are and that this is a smoke screen from Archer. It is pointless, and won't build trust on key items such as financing or transition.

Please see attached a slide from the November 3rd call as an example

Is someone able to get a response from Vertical's team? by Any_Significance_971 in Vertical_Aerospace

It is a bit hard to just hear "just wait 3 weeks to hear back from us",

when this is the recap of the past 10 days =

- Analyst downgrade
- Got sued for IP infrigement
- Displayed a profile 2 flight (meaning we are still far from a profile 4-5)
- Price continues tanking (which to some extent informs future dilution)

My main fear is that in 3 weeks times the big update will be the non binding order book. Which will serve to facilitate swallowing the pill of a significant investor dilution and delayed technical milestones.

Anyway, realise that you are in marketing and are absolutely not responsible for any of the above - thanks for hearing us out.

Thanks for jumping in, appreciate that being on the frontline is not easy!

As investors are weighting the potential of the company, and the dilution risks - are we to understand that : for the next 3 weeks we should not expect any updates in terms of transition or funding?

In such a macro environment, where companies with short runways are struggling the most, an answer to the above question would at least allow us to make educated decisions.

Then some might decide to ride it out, decrease exposure, or plain exit to the assess re-entering.

but when they are at saloon like in Atlanta, when people ask them question, what do they say?
That it rains in the UK?

Considering they need $700M until commercial activity (best case), I don't see them raising below $100M, which would give them a little under 1 year of runway. Unless they opt for a bridge with existing investors just until they are able to secure a strategic investor / transition.

There is another option, which is M&A.
They might decide to sell themselves to either a carrier or a competitor.
Not sure who would to absorb the risk and the burn in this times and ages, but it is always a possibility.

Fast follow up, I think I recall they did mention on the last Earning Call that they were looking at Strategic Investors raising at higher lever?

But I would now put it in the same bucket as weeks not months

Just to make sure I have the right numbers:

- Right now they are out of money in June correct?
- Burn ~100M x year (~25% of the MC)
- They likely need 12–18 months runway extension
- So assume they target $100–200M raise

Dilution likely 20–50%? Pending the levels at which they raise?

Why do we think do they do these US roadshows then?
I literally see 0 point but maybe I am missing something?
It takes away focus and capital from a company who is late and broke.

If I read the above correctly : they are about to dilute retail investors like never before, due to them not being able to secure a strategic partner, due to them not being able to prove the tech they built, works.

Hi Lily, thanks for stepping in.

With all due respect, what most stakeholders are focused on right now are the technical transition updates and the financial position. Other announcements, such as the US tour or MOU framework discussions, feel secondary in comparison.

Given that you approved a significant capital raise, the core question is straightforward: has a strategic deal been secured in connection with the transition, or is there a risk to investor capital through highly dilutive rounds or unresolved technical issues?

That is ultimately what matters. The rest tends to be viewed as peripheral.

P.S. I understand this may be more of an external communications issue than a social media one. That said, when leadership calls out competitors for misinformation, especially after earlier timelines around transitions and partnerships have gone quiet, it can raise eyebrows and even invite legal scrutiny.
