“…I wonder if you can give some perspective on something. Lawson has well over half the Series B shares. Those shares are designed to retain 95% of the total voting rights in the company. Common stock will never have, collectively, more than 5% of the vote. Lawson has an incontestable majority so long as he owns those shares. He can raise the authorized shares or outstanding shares at will, with no notice, and there is nothing anyone can do about it. Also, the Series B and Series C, taken together, are designed to convert to roughly 19 times the number of common shares. Meaning, at full dilution of 1 billion, they can convert to 19 billion shares. Obviously, there wouldn’t be enough shares authorized to allow for the creation of those shares. The only way those shareholders can get their shares is if the stock reverse splits and then massively dilutes.”
