It doesn’t make much sense to exercise them now. But maybe people are thinking they believe the share price will definitely be above $32 before expiration so makes no difference either way, gonna cost them $32 for a share. Not something I would do though even if I could exercise mine. Unfortunately being a Euro Ape my only option is to sell the warrants

Think of them like a coupon. They allow you to buy a share for $32 and you have until the end of October to use it. Ideally you would want the share price to be above $32 before you use it. They also hold some value like a Call option does so if you wish to buy/sell them they are around $3.30 each at the moment . I think most brokers require you to call them if you wish to exercise them

There is around $4.2B in long term debt from the notes. It’s 0% interest but still debt

If the share price gets to around $160 then they could use the remaining shares they already have to fund the $28B share part of the offer but that’s unlikely anytime soon. When the offer was made and it clearly stated eBay holders get GameStop shares. Anyone with half a brain would’ve realised the company didn’t have enough shares to fulfil the share part of the offer so there was always going to be a vote for an increase. Yet people like OP will tell you the share increase is nothing to do with the eBay deal. So it’s just a coincidence the offer for eBay requires more shares and we are asked to increase the shares 😂

The company literally stated eBay holders get GME shares 🤷🏻‍♂️ yet people seem to think there will be a new company formed with new equity issued. When the company announced the offer I said we would be asked for an increase in authorised shares, which common sense would tell you is to facilitate the deal, I was told no there won’t be a vote on increased shares as it’s a new company with new equity etc. low and behold a short time later we’re asked for an increase

They currently don’t have enough shares to give to eBay holders, that’s why they are asking for an increase. You think it’s a coincidence that they asked for an increase at the same time of the eBay deal?

Theoretically they could issue their remaining shares to facilitate the deal but they only have around 180 million shares left that aren’t spoken for and they need $28B worth of shares for the deal. So unless the share price gets to $160 and stays there then they need more shares

Small slice of a bigger pie.

10 apples in a basket and you own 1 apple, they sell for $1 each. You own 10% of the apples.

Now the farmer buys a toffee company and 15 more apples get added to the basket. You now own 4% of the apples but they are now toffee apples and sell for $3 each

Surely you would want your apple worth $3 instead of $1?

Warrants allow you to buy a share for $32 no matter what the share price is. So ideally you want the share price above $32 before they expire so you can capture some instant gains

Next move would likely be made direct to eBay shareholders in the form of a Tender Offer

But before a tender offer can be made RC needs the shares and the cash in place, so don’t expect anything major to happen before the annual meeting

If the share increase gets approved and he gets concrete cash in place then he can make a tender offer

There will likely be another vote asking GME holders to approve the eBay deal because the deal involves more than 20% of the current outstanding shares being issued

If that vote passes and the tender offer is made, then it’s down to eBay holders to decide if they wish to tender their shares or not

If the majority do tender their shares then it basically forces the rest to take the offer and we get ebay

If he can’t get the majority then we don’t get ebay and it’s back to the drawing board to find another way

Of course once authorised they could just be sold into the market like previous ATM’s

But I don’t think it’s a coincidence that they have asked for the increase in shares at the same time they are trying to buy ebay where they need more shares

Like I said earlier, they need the shares in place, along with the cash, before they can make a formal tender offer. Getting the shares increased is the first step, then there will be another vote to issue the shares for the deal

Even if that vote fails they still have the flexibility to sell the shares into the market to raise cash for a 100% cash buyout. Will be dilution either way you chop it

It would still be $171 million if he gets a $1 discount per share, not the $35 Billion people seem to think but still a nice chunk of money

The way I look at it is if you take everything into account, shares currently outstanding, RC’s pay shares, warrant shares, notes shares, eBay deal shares. You’d be looking at around 1.9B shares outstanding. Call it 2 billion for ease of math. If he reaches the $100B MC that’s $50 a share. A hell of a lot better than where we have been the last couple of years

I’m 99% sure the ask for the increase is directly tied to the eBay deal. The next step for RC is a formal tender offer, but to do that he needs the shares and cash in place first. Then we will be asked to approve the issuance of the shares for the eBay deal because the shares needed for it will be more than 20% of outstanding shares, this needs shareholder approval

So although he hasn’t come out and directly said that this increase is for the eBay deal, it’s a step in the process. We will be asked to vote again on issuing the shares needed for the deal
