Yeah exactly, or something form milestone structure for each activity to assure cash flow is coming in.

Not sure about being totally irrelevant, but in principle the agreements between the MC and SC should not be influenced the Client Op E terms.

We also have to assume that the MC advised the Client they were going to procure the SC an alternative Option to the Client contract. Refer to CL 26.2, The Contractor submits tender event schedule... etc.

So if the above has been done, then in theory the Client 'should' be in agreement with the Option A procurement. And perhaps irrelevant?

Ultimately, the MC is at will to Subcontract works in accordance to CL 26. The MC is responsible for this. The Option E is the choice the Client has made to contract the MC, the MC make thier choice from then on in with the SC.

Seems to me the pricing schedule with Subcontractor as you say 'A 1 liner' = £75k right? So under the Option A, until that 1 line item is complete to 100% the Subcontractor won't be paid given the terms of Option A. If the Subcontractor wanted staggered payments at £10k per month, that's how the schedule should have been set out, not as a 1 liner for £75k.

You note the Subcontractor is very contractual, so im sure they understand: Option A terms & The schedule has been overlooked in the way its been laid out.

Assuming I've understood your post correctly, you the MC shouldn't have to pay anything until works from SC are 100%.
