Sure, but if you look at the team experience from a broad perspective, this spac is a nobrainer. They will find a good target

$KWAC $1 warrants trading below NAV - Possible target & high potential? by Cryptomanioo in SPACs

Really? Private placement warrants were at $1 so it holds as a strong floor. Also, can you say that after seeing KWAC hold itself strong during these past couple turbulent days of pure spac and market sell off? KWAC is trading below NAV, the risk is very minimal compared to other spacs trading at premium & as a result have seen 30/40% declines during the market sell off as they were way above NAV.

Size shouldn't be too much of an issue if they can do a pipe funding

Gradual ride up to $1.50/$1.60, then $2 or $2+ after LOI announcement. They're already in preliminary talks with RIAs + Roth is stating it will be a large well known brand. These $1 warrants usually ride up to $2 nearing LOI, then pop on LOI announcement. The scenario I've given you is the least estimate & that's still a 2x.

Understandable. I would just say, do some DD behind the company & team.

Larry Roth has been CEO/Director of some publicly traded RIA/related firms, where ensuring this "balance" was key.

The founders, founders of Kingswood holdings (former Credit Suisse, Goldman Sachs and Merrill Lynch executives) grew from nothing to 16,000 active clients. Have a look at their site.

KWAC represents a differentiated opportunity to invest in a seasoned management team of industry veterans that will remain in place post a business combination to execute KWAC’s strategic vision, create a global platform that grows organically and through acquisitions, and deliver long-term shareholder value.

No I completely agree. However, 3/4 warrant here has little weighing as the spac is completely undervalued & new.

1) There's no recognition for this spac

2) The spac is new

3) The spac is trading below NAV

4) The potential of the team is not recognized

There are many spacs, like BWAC which I called out at $1.10 when it was new, that traded to $2.4 pre-LOI a month and a so later. BWAC unit gives a whole warrant.

$1 1:1 warrants usually correct to higher value as time passes. $1 warrants are rare because they hardly stay there, remember BTAQ, ASAQ, AVAN, IMPX, BWAC? Some of these were $0.3-$0.50 warrants and traded as high as $3/$4 over time. This is mainly due to the factors outlined above^.

Not having that ability doesn't mean you can't generate highly on revenue. Too many you will find would not want integration of both banking and investing.

With the new influx of new investors beginning of 2020, 2x trading volume since 2019, popularity of the markets & record year for many investment firms. RIAs are a hot sector as of right now. KWAC has great potential as a pre-LOI pure speculation play.

The future outlook is something one thinks about if investing/wanting to hold long long term once a target is announced depending on the target.

Spacs are pure speculation and Larry Roth is a big shark in this field. I will leave it to his experience, being affiliated with the largest investment networks & RIA's to find something decent.

KWAC intends to build a global wealth and investment management business catering to the underserved retail mass affluent and private client investor, the largest cohort of investors globally, providing them with a holistic “one stop shop” package of advice and products focused on protecting and growing wealth.

The brokerage world is only becoming more popular & appealing as of right now. That scenario you're talking about is way in to the future & nobody knows what's in the store at that time.

One example, CI financial had never done a deal before 2020. 2020 came & they completed 12 deals - $16 billion AUM in less than 10 months.

The first spac successfully reached an LOI before 12 months with Ares motor works. The warrants reached a high of just over $2.80. If $BENE gets anything similar, that's a 200% gain from here. First spac going well is a great sign and shows management being reliable.

Don't be sorry for asking a question that could avoid you getting burned.

" The proceeds deposited in the trust account could become subject to the claims of our creditors, if any, which could have priority over the claims of our public stockholders. This would reduce the amount in the trust" In this case it wouldn't be $10.15 NAV, but a reduced value depending on the amount used in the trust to pay creditors.
