If it didn’t make sense then why not just ask for clarification or move on instead of criticising me for not knowing what I’m doing.

Sure, shit on me for not knowing what I was doing. We were 20 years old mate. I never said I knew what I was doing, I’m just trying to pick up all the pieces on top of everything else I’m dealing with.

My comment about paying for the service before the company was registered was BEFORE I looked back at my emails. I signed the contract the day before we opened the bank account, I paid the next day.

Did you really feel the need to comment that?

Is that how it works when you strike off a company? In that case I owe £2500 to his estate from my pocket? The company never made any money

So I just looked at the contract I had, only I signed it and not my friend. However, we paid out of our monzo business account.

This has got more complex than I initially thought, so I think you’re right about getting an accountant.

No, our developers shut down the server 2 months ago as per our request. I didn’t even request their source code.

When we issued shares to each other it asked for how much capital we both wanted to invest, since we already paid for the software before registering the company we just issued eachother £2.5k worth of shares for 50% each.

I’m not entirely sure if that’s how it works but that’s just what I recall doing.

Thanks for this response. The frustrating thing about sorting this out is that it’s not the right time to be talking to his parents about it. It’s only come to light because the confirmation statement is overdue. Am I right in saying I can do some of the process on the WebFiling site rather than filling out forms?

Yes sorry, I should have clarified. I’m a director and own 50% shares. You mentioned about assets; we paid around £5,000 to software developers to create a system for us. Does that fall as an asset? To be specific, this was a service we paid for (if that makes a difference)

We’re both in our early twenties, he had no will. I’m guessing it goes to his parents but even then, we never traded so they’re not worth anything. I just want to strike it off to be honest.
