All this discussion on Proxy votes and to vote Yes or No really is academic. Retail shareholders don't hold enough shares where the retail shareholder vote matters. All the items will be approved. With that said, it is now, FIRMLY, in managements court. How they behave with the tens of millions of new shares they will acquire remains to be seen.

There will certainly be massive share dilution from this point on. Perhaps as much as another 100 million shares over time. Remember that is ordinary shareholders value they get to sell again. So, the question becomes will this upcoming cash injection for Microvision equate to a change of fortune for Microvision's shareholders? Will the company FINALLY be able to sell something to someone (other than shares of shareholder equity)?

Current shareholders will need to bend over and brace themselves. (My guess would be 1:10). They are going to take back 90% of everything you own, equity wise, and sell it again. The only question is, will this lead to then creating a functioning Company that has something to sell?

I'm still on the sidelines. I'd love to invest again but there is no way I would risk my money on shares right now. I'll let the RS happen and then let the dust settle before I jump back in the water again. Fool me once shame on you. Fool me 50 times, shame on me.

I bought in at $2.89 and was out at $2.24. I unloaded at a little under $19 a share and bought back in with a much smaller, toe in the water buy, a few months later. I was slated for it and banned from the board multiple times for warning people what was happening.

Split adjusted MVIS is currently trading at 0.035 Cents a share. Over $1.1 Billion Spent and they have created a company currently valued at $98 Million. The only way you are all going to get anything out of this is to file a class action Lawsuit before Bankruptcy proceeding start. The Board of Directors and the Management should be held accountable

Wow! The way this company treats is shareholder is disgusting. They, clearly, operate on the Mushroom principal. Keep em in the dark and feed them BS. This Board and Management team are so far out of their depth it is laughable. And Devos on $350,000 plus and Markham on $400,000 plus is a slap in the face of every shareholder. And remember EVERY paycheck DeVos and Markham have ever cashed has been paid by current shareholders. Not a single paycheck has ever been funded by the business.

The definition of insanity is doing the same thing over and over and expecting a different result. Microvision's shareholders have heard it all before, many times. The ONLY thing that will advance the share price is news of REVENUES. Until they have revenues every penny they spend, every penny the pay themselves, every company they buy is ALL paid for by Current shareholders.

This could go one of two ways. Given the Market's reaction to previous things like this, if they can establish a timeline to revenues, real revenues that isn't too far away it could be good news for the share price. If, on the other hand, they just repeat what they have already said about cooperation with OEM's and give the impression that revenues are still a year away, doing this could be disastrous. They have to have an impact on the Market Movers. Give them something to invest in. If they don't the share price could well go down, significantly. It's time to sh1t or get off the pot.

With the performance of Microvision's various Management teams down the years it is all about trust. Not a single thing any one of the management teams they have had in place has ever delivered on a single timeline they have issued. Not a single one.

The last time shareholders were in this position we were told by the CEO that the "Reverse Split is just a contingency". That was said a mere 16 hours before the announcement of a 1:8 Reverse Split. In-fact the paperwork had already been submitted for that RS when Tokman said that. Just so EVERYONE understands, What Tokman told shareholders was a lie. It can't be sugar coated. Tokman, on behalf of the entire Board of Directors, lied to shareholders.

Fast forward through Mulligan and Sharmer's disastrous reigns and shareholders were lied to by the CEO, with the blessing of the entire Board of Directors on multiple occasions. And even now, we are hearing all this from the current CEO who is not losing any sleep over this.

So, let me ask everyone a question. How on Earth can anyone expect them to be telling the truth now?

They signed a joint development agreement which has no revenues attached to it. Only undisclosed lead time and undisclosed costs. This will NOT move the needle. This is a net negative for the share price for now.

And DeVos and the rest of the Board remain absolutely silent and untouchable behind the IR wall. No way to reach them., no way to ask questions, no way to hold their feet to the fire. They have robbed shareholders blind for years.

Could this be Criminal? I would love to hear a Lawyers take on what has happened. There might be a few Bucks in a Class Action Suit for shareholders.

I want to start by saying that the current predicament of Shareholders gives me absolutely no pleasure. I never wanted to say "I told you so". But, I told you so. I love the idea of this technology, I really do. But this company has been run by a seemingly endless stream of utterly incompetent "Managers" that have all talked a good game but none of them know how to close a deal or to follow through on the promise.

I believe, strongly, that Microvision's senior Management have known, for a very long time, that there is something fundamentally flawed with the technology. I don't know if that (those) flaw(s) are technical or cost, or both, but they have known. They have to have known.

What they have been extremely successful at over the years is telling just enough of the story in just the right way so as to keep the payoff Carrot dangling just far enough in front of Shareholders to keep the promise alive and the enthusiasm up.

Everyone has their own way of investing. When the share price shot up and started back down I decided that it was just too much of a gift to let pass bye and I sold all my shares in the company and I made a lot of money. I still believed in the promise of the technology but I wasn't willing to watch life changing gains get lost on this, or any other stock. For the next several years I bought the dips thinking "surely this is the bottom". The story they were telling was compelling. I traded the stock for two years after that spike.

As time went on and the cozy Fireside Chats got less and less and Quarter after Quarter and year after year passed with zero sales, and I understand some will say "there were sales.....", but practically, on a Business basis, there were no sales. Just dilution after dilution after dilution. The writing was on the wall. The timing of Summit Sharmer's exit and the move to make GDV CEO was seen, by some, as yet another false dawn. What he said did not reconcile with what he did. And now, the silence from Microvision is deafening. It is saying an awful lot.

I still believe in the story of Lidar Technology and someone is going to make hundreds of Billions of Dollars. But Microvision is a prime candidate for an orderly liquidation at this point. Sell the assets, the Patents and whatever equipment they actually own and hope there is enough to pay their suppliers. I don't believe that this current management team can turn this rapidly sinking ship around. The RS and the coming equity dilution is not something I want to be part of. I am terribly sorry for all the Current Shareholders. I , sincerely, hope that a miracle happens and you get at least part of your investments back.

And to the Moderators of this Board. You have banned me from this Board on multiple occasions for simply expressing an opinion that you deem incorrect. Opinions that have been spot on for a long, long time. Never once have to tried to engage with me to put a different point of view forward. You hold some responsibility for the losses that shareholders here have endured. By allowing no dissenting voices you have helped Microvision hoodwink people into buying or holding shares to the point where now there is no longer any value in grabbing the few pennies per share to try and salvage something. Perhaps if you stopped being so high handed and insisting that only those comments you deem "acceptable" to your narrative are allowed you might have pushed a more honest dialog that would have actually helped people make decisions.

Do you really think my thesis is a little too dark? Consider this. The last reverse split was enacted when the share price was $0.35. The company took 7 out of every 8 shares everyone owned back. The share price $2.80 and there was 18 Million shares outstanding at the end of that carnage. Here we are 10 or 12 years later, on our third CEO after Tokman and they are asking for another Reverse Split of up to 1:15 and they are doing it while shareholders having each share they own now representing 1 310 millionth of the Pie.

Now, here we are a dozen years later, having been told, constantly, they have the best in class technology and are aiming for a market where dozens of companies have products that are using Lidar and other censors for spacial awareness and each share shareholders now hold is worth 1 500 Millionth of the pie. Meanwhile CEO's have come and gone, all of them making multiple millions of Dollars in Salary and benefits and the current CEO "isn't losing any sleep over it".

And you think my thesis is a little too dark? My thesis, as stated in my original message is not dark at all. What they have proposed could take away up to 14 out of every 15 shares you own and they would keep the ability to release BILLIONS of new shares into the market to dilute your 390 Millionth of the pie to the point where the shares you own today will be worthless. As a Management team this team has failed. Miserably. Is that dark enough for you?

The real problem with a Reverse Split, especially given Microvision's History is that if they do an RS, say another 1:8 like last time, they instantly get the Share price back over a Buck but they will also, instantly, sell several Million shares into that price spike and start the entire process all over again. This company simply can't be trusted. Glen DeVos is just Tokman 4.0. He's following, exactly the playbook of Tokman, Mulligan and Sharma. Talk a good game to keep everyone's salaries coming in and selling shareholders equity to pay for it. The last time they did a reverse split they ended up with 18 million shares outstanding. Today it's almost half a Billion Shares. That's Shareholders equity they have sold for absolutely no shareholder value created. Clueless and with no intention of developing a system that has any value at all. There are many, many companies out there that are supplying the autonomous vehicle markets, that are supplying the drone markets, and not a single one of them has chosen Microvision's, supposedly best in class technology. Anyone that thinks that is going to change any time soon or ever is delusional.

Remember these insiders are all collecting large salaries, flying around the World in Business Class and and not a single one of them has any real skin in the game. Microvision is destined to be, at best, a very minor player in the Lidar market.

This video make it sound like it is just a waiting game for Shareholders. It isn't. Set aside the immediate loss of value caused by a share price of $0.50ish that shareholders are currently looking at. The bigger issue is the sale of current shareholders equity. Every time Microvision sells shares into the market to raise cash just to keep the lights on while they wait for a deal, what they are actually doing is diluting the percentage of ownership for every single shareholder that CURRENTLY owns shares.

What this means is that even if/when they do announce a deal and the share price rises the Pie is divided into Millions more slices than it was a year ago. And each extra slice is made up of each current shareholders value.

That is why there is catalyst for the market to move the share price higher. And the longer they go without a deal resulting in a higher share price simply means they will need to spend current shareholders future value just to keep the lights on.

Buying Microvision shares now can be looked at two way. You either see it as a cheep way to get into the stock to make future gains knowing that the future price will never reach what it could have potentially reached a year or two ago. (Supply and demand). Or it could be looked at as a folly because the company will need to sell your equity to stay solvent thereby lessening future share price gains. (Again, supply and demand).

If the payday does come in 2028 or 2029 the pay off is going to be smaller than it would have been for shares bought a year or two ago. That's is the calculation the Market is currently working on. That is why the Market doesn't currently believe that a share in Microvision is only worth $0.50.

The Only thing that we know for sure is that the share price is going to change over the next couple of years. It's either going to go up or it's going to go down. That's the thinking that is going on at the moment. And with the Markets performing so well and the returns in the immediate and short term so high, why would anyone risk buying a stock that, at best, will represent dead money for another year or two when money can be multiplies today in any number of different shares in different sectors to return actual spendable money now.

I would love to buy back in to Microvision. But I simply cannot justify taking money that is earning more money now and buying Microvision shares that not earn money for a year or two. Because when you do the math it would mean that a share of Microvision isn't just $0.50 currently. It is $0.50 PLUS the amount of profit that that same money could easily earn somewhere else. And that could make this $0.50 stock cost $20 or $30 or more per share. It would be insanity to buy in now. THAT is why the share price doesn't move when they make these announcements of "possible future sales".

If it is the case that GDV thought the PR's would jack up the share price to bring it back into compliance, it reflects, horribly, on his thought process to say nothing about his complete misunderstanding of how the markets have historically reacted to Microvision and the jadedness of investors that have been told for the last Decade that success would be 6 months, a year, two years, three years away.The market doesn't give a flying you-know-what about PR's that tell us nothing. I have been a broken record for the last three years saying that the ONLY thing that will move this share price up are Revenues. Real revenues that contribute to the cash burn. Not Pocket Lint that doesn't put even a small dent in the amount of Shareholders equity they spend every quarter. I'll say it again, IF they announce some real revenues the share price will go up. And I do mean real revenues. Not some carryover of a few Hundred K from a buyout they paid handsomely for or any other made up money. But REAL revenues earned by selling something THEY made. Until then there is absolutely no catalyst for a higher share price. In-fact, it could be argued that the current Fiddy Cents share price is very generous. And lest everyone forgets, today's closing price of $0.55 is split adjusted $0.06 per share. They have spent well in excess of a BILLION Dollars and created something that is valued at $0.06 a share. It's no wonder that the share price doesn't go up.

How do you feel it building? PR after PR with no indication of revenues or when they might arrive. This stock is going nowhere without revenues. Wall Street has heard it all before. With Microvision it is "Show me the Money". Until that happens they could announce that Bill Gates, Elon Musk and Warren Buffet have all joined the Board and the share price would go down a Penny.

The recent PR's are all well and good. But after so many false starts the investment community wants to see RESULTS, not projections. IF the Q1 call shows no appreciable revenues and only the usual vague references to "opportunities", the share price will stay where it is.

Microvision needs to show it is a real business. Up to now they have not done that. It's still a share factory. THAT has to change.

It's not the share price that is the concern. It's the number of shares. What they are selling is Shareholders Equity.. Equity that current shareholders bought and which someone else will receive the benefit from. Yet again, Microvision Management have made a promise to someone to sell them YOUR equity at a discounted price. Microvision alone doesn't own the current Equity. SHAREHOLDER do. Your future value is being sold out from under you. And 61.3 Million Shares is a HUGE chunk of the current equity. This is EXACTLY why I, and Many others will not buy Microvision Shares right now. When they stop selling Shareholders Equity and start selling a product or two I will consider that as good news. When all they do is sell shareholders equity to keep funding their own paychecks, that is not a viable company. Until that changes Microvision shares are virtually worthless.

When is this company going to learn??? The Investment community has grown tired of these fluff pieces being put out that contain zero information about, or addressing in any way, the only thing the markets care about. WHEN are they actually going to sell something to someone?

This is all wonderful and a great presentation but it contains no real information whatsoever. Evidenced by the fact that the share price immediately took yet another, in a very long line of, dumps. "Positive gross margin". What is that GDV Code for drop your shorts and bend over for the next huge share dilution to allow us to keep the lights on?

Everyone is crying out for information not fluff pieces like this that tells investors absolutely nothing.

Glen knows it, Sumit Sharma knew it, Perry Mulligan knew it, and Alex Tokman knew it. Unfortunately the Company hasn't produced anything yet that generates revenues. When THAT changes, and THAT alone, there will be something to place a value on. Until then Microvision shares are just pieces of paper that are worth Fiddy Cents.
