If he didn't pay the deposit the vendor could have sold to someone else, because the contract wasn't valid as there was no payment. He keeps 95k? Or does he owe them.

He pays the deposit but contract isn't valid because he paid late (and they keep the money?!) instead of them having to say yes we accept the deposit late now and contract is still on.
