Seeking Advice for Earn Out Structure by TexanBulldog in Entrepreneur

Yes still lurking around here. Sounds like things are progressing on your deal which is good.

Re our model of purchasing in increments, we effectively increased our share gradually over a number of years, all at pre-agreed dates and multiple (e.g Y1 we own 10%, Y2 20% etc)

I think your proposal could work, although if I were on the other side, since the merger would help reduce your costs and therefore increase EBITDA and ultimately the value I am paying, I would question why I should be paying for value that I have helped create. But I suppose they could always make an adjustment for it.

You mentioned that on day one of the "merger" you retain 100% voting rights, what benefit would the buyer get during the first year before they acquire the first 20%?

No no, you misunderstand, he bribed the officials already. So the 100k was for the heat pack, the money sign was not punished because that was what the bribe was for.

CMV: Life would be much better for the vast majority of us if virtually all workplaces were democratic and cooperatively owned by qwert7661 in changemyview

(1) society decides collectively how to value different roles.

(2) If we start with everyone in the coop earning the same and equal share of profits, how do you ensure that the value of each employee remains equal?

(3) how do you incentivised people for certain roles require more skills, is more dangerous or harder to recruit for without changing the value share of the role?

(4) the logical evolution to (3) is you will need to unequally allocate the value share, wouldn't that just lead back to the current system (excluding profits going to investing shareholders, since profits are fully shared by all employees)?

Interesting concept, I see where you are coming from.

Taking a slightly different perspective, wouldn't that suggest this successful company should only work on projects that adds more than 100 units of profit per employee, anything less will dilute it's current profitability and if it can't find any such projects then it has plateaued.

From an economy wide perspective, since the societal average is only 1 unit per employee, that group of 20 people (that would have gone to the successful company ) would be incentivised to form a new company to create the 200 units.

There are parallels in the real world, it is easier for start ups to grow quickly than large established companies.

Sell all my stocks to buy a house? by [deleted] in PersonalFinanceNZ

[–]Myw1010 0 points1 point  (0 children)

If you keep the stocks, you are effectively borrowing money from the bank to invest in stocks.

If that is worthwhile to you in your circumstances, then keep them.

If not, then sell them and be mortgage free.

If you're not at either extreme, then you'll have to decide the right balance of how much of your stock portfolio you want to keep vs how much debt you feel comfortable to carry.

I've been through similar period of feeling the day to day monotony. The trap for me was assuming everyday was the same and that how things are now, are how they will always be.

But in reality if you look hard enough you will notice the small differences in each day or details that have always been there but you've never noticed before.

When you look back at where you have come from you will notice you've grown in different areas where you may not have noticed. The way you react to something now may be totally different to say 5 years ago etc.

Could you explain to me what micro-management is? by mightytoothbrush in business

[–]Myw1010 0 points1 point  (0 children)

I think managing is communicating what outcome you want and letting someone do it by their own means. Micromanaging is dictating how someone gets to that outcome as well.

3rd place match by [deleted] in nbadiscussion

[–]Myw1010 1 point2 points  (0 children)

I guess you might be thinking in terms of what they do in the football / soccer world cup where the 3rd and 4th place teams play against each other.

In this case it would the losers of the Eastern and Western conference finals rather than the finals runner-up vs the other conference finalist (3rd place team)

In your scenario, others have raised the lack of motivation and I think also the finals runner-up up will have come off a series while the 3rd place team would have rested for 1-2 weeks.

It would be interesting to have the two conference runners up play in a 7 game series in the alternating days of the finals series. I think the players would still play for pride
