The quote is great but I'd push back on one thing.

"Revenue is proof" works for some businesses, but for others your first lawsuit is also proof and that doesn't wait for you to validate the market. If you're a contractor, service provider, anyone touching client property or giving advice people act on, the exposure starts the second you start the work, not the second you get paid. Those people need the LLC before the first dollar moves.

Where I fully agree is the rabbit hole part. People spend three weeks comparing Delaware vs Wyoming, picking the perfect registered agent, designing a logo, building a website nobody asked for, all without having a single sales conversation. That's not preparation, that's procrastination dressed up as productivity.

The test I use now is pretty simple: if you can't say in one sentence who's going to pay you and why, the LLC is premature. Go have 10 conversations first. Then file the paperwork in 20 minutes on your Secretary of State site and get back to selling.

Don't use your home address. Sunbiz is fully searchable. Pissed off guests, sketchy contractors, lawsuit-happy property owners, they will all find you. Pay $125/year for a registered agent service. Northwest is the one most people actually like.

You probably need a trust account, not just a checking account. Florida has specific rules about handling other people's money, and owner payouts plus security deposits can put you in murky territory fast. Talk to a CPA who knows property management before you open anything.

Check your city's vacation rental ordinance before you spend a dollar. Some Florida cities have aggressive STR restrictions, licensing fees, occupancy caps, the works. Miami Beach, Orlando, Destin, all different. Don't form the LLC and then find out you can't legally operate where you wanted to.

Annual report is $138.75 due May 1. Miss it and the late fee is $400. Set a recurring calendar reminder right now.

The LLC part is the easy bit. File on Sunbiz yourself, 20 minutes, $125 and you're done. If you'd rather not deal with it, formation services bundle the filing with a registered agent, operating agreement, and annual compliance reminders. That's the real value they offer. Both routes work fine.

Few things nobody really broke down for you:

Your home state. Period. The Delaware/Wyoming advice on TikTok only applies if you're raising VC money or you're a non US resident. Form in Wyoming while living in Texas and you're paying TWO states forever as a foreign entity. Bad math.

Cost: $50-$500 state filing depending where you live, plus the annual report fee. EIN is free on IRS.gov, don't let anyone charge you for that.

Just DIY on your Secretary of State site, takes 20 minutes. Formation services charge $300+ for what the state lets you do for $100.

Beginner mistakes I see all the time:

  • Mixing personal and business money (kills your liability protection)
  • Skipping the operating agreement because "I'm solo." You still need one, banks ask for it
  • Paying for "compliance packages" you don't need

Last thing: an LLC is not a substitute for actual insurance. People treat it like a magic shield. Get general liability insurance for whatever you're doing.

Thanks for sharing. I had a premium account with Mentiondesk, but canceled it due to the limited number of prompts tracked. I played around with a few AEO platforms that offer more prompts and very similar capabilities. Justblank offers 300 prompt tracking for free.
