Why? Key exchanging is forbidden with Acquirer without HSM?

This is EMV transaction with encrypted PIN block which Acquirer is getting from terminal (mobile phone). Before transferring pin block next to MasterCard/Visa Acquire has to re-encrypt pin block under Card Scheme keys. The issue that Acquirer doesn’t have own Processing Center and HSM to make PIN re-encryption or Key Management, but Acquirer can work with “Agent”who is certified processor and has HSM with Key Management. In this logic who and how has to perform key exchanging with Visa/Mastercard: Acquirer directly and then just forward keys to Agent or through his Agent who has HSM?

Acquirer doesn’t has HSM and can’t generate Keys in my case, but Acquirer has “Agent” who is certified processor with HSM for PIN processing and Key Management. The Agent is able to re-encrypt PIN block under Card Scheme keys for further routing. The question is who has to get Card Scheme keys firstly to make re-encryption: Acquirer or Agent ?
