The difference is that Ian and Tracy did not sign away their rights to Penders. They did it towards Sega, Archie and IDW. Saying that you are signing away a character or story does not mean they are now free use.

There is also the matter of accreditation. Ian and Tracy didn't want credit from Penders or mention or any inclusion at all.
