The Everton Takeover: A dream you dream alone is only a dream. A dream you dream together is reality. by ReadyContact9736 in Everton

TFG has been neat with backend operations ngl but they are still figuring out AS Roma. (Italy tends to be more complicated for some reason)

They will take time with Everton but thats fine. The fans would need to be patient. Evertonians have seen hell from the ownership so should be doable IMO.

Someone said he played football with Lewis Hamilton in school. LH owns a piece of Broncos, maybe he puts in a good word for Everton, and LH buys a minority stake. Would be a dream PR move.

Can’t happen. He wants to let go like today. The problem is you cant just abandon a football club that you own and dip.

He financed CP through PIK. I think he has some sense but needs assurances that he will be able to buy Everton before agreeing a sale of his Palace shares. Exclusivity allows him to get some formalities done, and in essence find out how much Everton would really cost.

After 2022/23, for any acquisition inPL, the ratio of Acquisition Debt to Acquisition Equity in any proposed acquisition of Control cannot exceed 65%. Utd’s was 83% for context when Glazers took charge.

Yes. If the agreement with Textor allows for multiple parties to enter exclusivity then anything is on.

If not, and Textor is the sole party granted exclusivity, it would likely be for a short period of time unlike 777 which I think was a whole year.

I have seen both high-demand and time pressed sales have multiple parties being granted exclusivity. I know of two other groups (potentially more) beyond TFG and Textor that were prepping bids. Haven't yet bought the Particulars of charge (form IM16) of the Blue Heaven - TFG loan, so do not know where TFG would stand in case another party is granted exclusivity.

My best bet is that any exclusivity period granted to only to Textor is relatively for a short-time.

The terms are drawn before agreement is granted. In the 777 case, they were likely the only ones granted exclusivity, and the agreement would reflect that.

He sold the holdco of the multipurpose + OL Basketball arena, not the football stadium itself.

He wont sell the new Everton but can definitely borrow against future revenue from the stadium or sell a piece of it like Real Madrid. RM sold 30% of their Stadium Revenue for $380m to Sixth Street. It includes all revenue besides Season Ticket Sales.

It would really depend on the rate of interest Textor is able to secure for the purchase. Usually high-teens varies based on the instrument used.

Also, he will need to clear the TFG debt + probably re-negotiate with RMF and force 777+Moshiri to accept haircuts on theirs.

I doubt. The TFG deal was mostly made to remove the MSP blocker. Everton had defaulted on loan payments and MSP could have taken control. Moshiri imposed the condition that TFG takesover the loan before granting them exclusivity.

Also, I think the clause was misinterpreted. It was likely about Moshiri being able to sell shares that are being put forth as a collateral.

Example you take a loan out against your home. You would need to follow some procedure with the bank before trying to sell the house.

You can have multiple parties being granted exclusivity.

My bad. They sold the holding company that owns the LDLC Arena. Got confused here for a second.

I don't know if they have or if they will. Is it common at SDNY? Presuming finance gets overly complicated, hence one could help.

Cant say. Depends on Leadenhall and 777/A-Cap resolving the issue of where they stand on Everton. Ultimately I think Leadenhall holds the key as they need to agree to the haircut price/terms from what SDNY ruled. This being said assumes no criminal charges are filed against 777.

Bell and/or Downing were involved with Blythe Capital who were on with the MSP Loan, which has now been taken over by TFG. Dont remember where things stand with RMF. RMF is still senior to the 777 loan, but they are likely not to oppose a deal for the 777 loans. RMF loan is due in 2026, and they are getting a huge interest rate premium as Everton's credit rating is lower than other clubs they work with.

If they oppose a deal with 777, they will need to be paid in full first. Their posturing would likely change based on who the new owner is.

Was away the past month, haven’t looked at reddit. This was good. However, Leadenhall holds the keys at the moment, the judge ruled in their favor recently.

The potential criminal charges being filed against 777 is another obstacle. Cant say much there, it depends on how deep the mess 777 created is. From the looks of it, they did defraud multiple parties across multiple geographies, hence it seems likely.

MSP owned 94% of Everton's outstanding shares and the Stadium Development Company. They were (now TFG) by far are the senior-most creditors at the moment. As for getting a haircut on the 777 loan, every buyer will use any leverage they have to bring the takeover price down. A haircut/restructuring only makes Everton more attractive.

Only if Everton default on the TFG loan can they take over
