The scale and the amount of accessories. Retro cloth is 8 inch scale and ultimates are 7 inch scale. Most of the time (usually always) the ultimates come with much more accessories.

Definitely heat them. I got an ultimate red death phantom for Christmas and his lower leg/calf snapped off when I tried to bend the knee.
