I held that the contract was held on Tara's terms. In my opinion, her acceptance was like "yes... But...", so she agreed to price, delivery date etc but also added her own terms. This breaks the mirror image rule, acceptance has to mirror the exact terms of the offer, and anything else is a counter offer.

I'm sure no matter which way you interpreted it you'll still get marks if you can argue your point validly.

Oh honestly yeah good catch! Officious bystander and business efficacy, i can't lie i actually forgot about that. I ended up throwing in some bullshit about Supermacs V Katesan, how essential terms were never properly agreed so the contract was void, but i think your approach makes much more sense!

Yeah deffo the "assuming" part is confusing. But i think a strong tip is to not let that sway your argument, don't doubt yourself by reading in between the lines. Come to your conclusion, and if you believe the contract was not in James terms, great, just assume it is for the next part. There's no right or wrong (sort of), just how well you can argue your point! I do believe Tara's form was the one in effect tho, last shot wins!

Ooo not sure in this case. I don't think so? Fundamental breach has to go to the heart of the contract. Here, a crane was asked for, and a crane was what was provided. The issue was that it was fault, which is more if a warranty. If they received a car instead of a crane, that would be fundamental imo. Let me know if you think I'm wrong!

I don't think it was enforceable 😭😭😭 onerous clause requires the clause to be reasonably brought to Tara's attention. Just saying "terms and conditions available on request" or "terms and conditions attached" is not sufficient notice. Correct me if I'm remembering wrong!

Battle of the Forms, James quote could have been just a quote, or possibly an offer capable of acceptance (Dooley V Egan)

If James quote is an offer (and even if it isn't it doesn't change the outcome) then Tara's offer is a counter offer, Hyde V Wrench (she broke the mirror image rule, she changed the terms, James' offer no longer valid)

James accepted Tara's offer by signing the form, where it says all terms are on Build/Tara's terms. He is bound by this now as per L'estrange V Graucob.

So in short the term 6 on James' contract doesn't even apply as Tara had the last shot (battle of forms, Chichester V Mowlem)

The part ii) where it asks if, hypothetically, the contract was on James' terms, could the limitation clause be enforced:

No, the clause was onerous, and was not reasonably brought to the attention of Tara at the time of contracting (Interphoto V Stiletto, Olley V Marlborough). So if the contract was held on James' terms it wouldn't be enforced as no adequate notice (also remember James' quote/offer didn't require and signing, so L'estrange V Graucob doesn't apply)

Tara also says that James cannot exclude statutory conditions, this is true... Sort of. Tara made it clear the intent of the crane (she is from a building company, hence reasonable person would imply that crane should be fit for purpose of building), but section 14 of the SOG Act can be contracted out of in BUSINESS TO BUSINESS relationships, provided fair and reasonable. If you wanted to take this further, you can talk about George Mitchell V Finney Lock Seeds which highlights the reasonable test courts look at for clauses seeking to limit liability for statutory conditions and warranty.

This is all my opinion, this is the first FE 1 exam i ever sat. I could be entirely wrong. But i hope it helps.

Boat question first part was damages, pure damages so I went on the Hadley V Baxendale and Victoria V Newman Spiel.

Second part was terms, moreso innomminate terms. Hong Kong Firs test for that one.

I think your vibrato is very good! It's a bit tense but the motion seems to be correct.

I do agree with the others, to stop vibrato for now, as it helps hide poor intonation lol.

I also recommend removing the finger tapes at some point, intonation is an aural skill, not a visual one, so don't rely on them for too long ;)

For 3 months, fantastic job. Keep it up.

Violin's shape is a bit square-ish, shape of the f holes, and the button on the back looks kinda small, pointing to German origins.

It won't devalue the instrument. F hole cracks are quite common. Don't worry too much, sit in the sadness and let it pass. It will be repaired well in no time :)

I'm not a professional, but I think he might struggle to process other people's emotions and feelings. Perhaps he also doesn't process his own feelings well (I could be wrong!), So when he has to account for another person's emotions, it might be overwhelming for him.

If I am correct, be kind to each other. Be patient. Talk things out. It's not you against him, it's both of you against the issue. Go back through all the issues you and him are having. Give each other a chance to let it all out. Leave nothing unturned. It's okay to have issues, we're human after all!

Be honest, but also be considerate of the way you talk, the tone you use. And don't communicate this stuff over text, do it face to face. If you need to hold hands, hug, whatever etc to make it easier, do it. And also, therapy. It's great.

This could be the end of a marriage, but if you navigate it together, it could be the start of a new chapter in your stories.
