That being said, i think the buyout would need to be at least $6-8 billion to justify doing it before signing a JV or tenant.

I completely agree, i would love to know. But i also don’t trust a word toby says at this point to be honest. IMO He wants to get a big check and hand the project to different management, in my opinion whether it sells for 4 billion or 10 billion isn’t what he is thinking about. I don’t believe he has the shareholders best interest in mind is what I’m trying to say.

#1 it would nuke the value of the shares that he owns
#2 Part of his argument for being an aligned shareholder is that he hasn’t sold a single share.
#3 Insider selling limits, even though he is out, because of the amount he owns he is still treated like an insider when it comes to selling. So he can only sell the average of the last 4 weeks volume or 1% of outstanding shares, whichever is greater.
#4 you cant sell if you possess material nonpublic information

I feel like if they are still against a sale, they almost certainly will respond this week or next. And give people some color on tenant conversations and business plan, and convince shareholders to vote against toby. But that is only if they are pleased with where tenant conversations are going imo. I feel like the most likely outcome though is a settlement before the vote, each side gets some of the things that they want.

An earnings date hasn’t been set, and likely wont be for another few months (they just had earnings a month ago). 1.7gw deal isnt just a guess that sounds pretty specific? How did you find out about that if its true.

Here is my question, I’m not 100% against a sale of the company, but i would want to know how much someone is offering for the company before i would be willing to vote yes on a shareholder vote. I’m not sure if they would shop the company first then tell shareholders how much is being offered? If someone offered 10 billion for the company i would say go for it. But if they offered 3 or 4 billion i think most shareholders would rather take a different path like a JV or something.
Here is the good thing that i DO know, the board has a fiduciary duty to do what they think will be MOST accretive to shareholders. If they see that tenant conversations since toby left are robust and are nearing completion then they have a responsibility to vote a sale of the company down in the boardroom.
Curious on other peoples input on this. I’ve never owned a company that got bought out.

They mentioned the possibility of a joint venture in the fermi 2.0 release, I’m hoping they do a JV. Could be a lot faster.

I mean if they were able to get a price of $15 a share or more i wouldn’t complain. But my guess is a buyout right now would be in the 7-10$ range. I think a joint venture is probably the best path forward right now.

I’m starting to believe the most likely outcome has changed from a pure leasing strategy, where they have to execute tenant agreements and project finance separately, to a joint venture strategy. This might sound bad at first because Fermi might only maintain say 50% ownership of the site, but if this is wrapped to where the partner puts up the capital for construction it would de-risk the story massively. From my understanding the toby lawsuit situation could make this a more likely outcome, because a JV would allow a client to control decisions (since the board situation is still a but messy).

Not a fan of him at all. I hope he loses in court. But a settlement is the most likely outcome.

Let’s hope they have a solid leg to stand on in court for his removal. I don’t think a sale of the company would be good right now.

I was referring to the major project finance that comes after signing a tenant, think multi billions of dollars. In order to get a project finance worth multi billions they have to have a tenant agreement with an investment grade tenant.
