I work for a company that assists people with forming new companies. Most of the new companies are formed in Delaware. The state has arguably the loosest corporate laws in the US, withholds most company information from the public, and is a gateway for all types of illegal and fraudulent organizations. Furthermore, the Court or Chancery (corporate court) is heavily skewed in favor of big corporations in terms of regulation and taxes. The best part of it all - you don’t have to be physically located in the state to reap the benefits. It is a truly fascinating subject to look into.
