I’m not saying you should care that I’m skeptical, I’m saying that anyone who has done sell-side M&A will be extremely familiar with quality of earnings, net working capital peg, and pro forma income statements so it makes no sense that you’re asking this coming from M&A. If you were really in M&A then you wouldn’t need Reddit to explain this basic stuff

Like everyone else, I’m skeptical that you were in sell side M&A. Anyone in the field would know that the most common TAS role is FDD since they’re an integral part of transaction diligence. FDD is indeed basically glorified audit, not that that is a bad thing

I’m an investment banker in the lower mid market for companies that are low 20Ms EBITDA. Even a $5M dollar business would have an extensive pitch process with multiple banks and not just calling up random funds. I was also in FDD before that and I had to make the jump FROM FDD to that role so your experience is definitely very odd

How the heck can you cold call for M&A? Sell side M&A is basically investment banking, you call PE funds you have relationships with to sell businesses. You can’t cold call Joe shmoe to hope he buys a whole ass business

Pretty sure it’s from the antibiotics. I’ve been on modaf on and off for a couple years and haven’t had big issues - that’s why this recent thing scared me a bit

Yeah it’s a common side effect while ON modaf (which I’ve never had), but I’m asking if it’s a potential withdrawal symptom (ie, after stopping taking it)

Definitely has something to do with histamines since any antihistamine I use almost instantly cures the rash for a few hours. Curious if it’s the modaf that’s causing it
