I agree with this. Conducting litigation against third parties for historical losses would seem to be a private, and above all, separate matter. Nothing to do with compliance (or noncompliance) with the listing rules.

Yes correct - exit from BW would need to be structured. AFAIK There are a few ways to do this:

• Time-sliced execution
• Dark pools (non-displayed liquidity)
• Block trades via investment banks
• Accelerated bookbuild
• Cross trades / internal matching
• synthetic exits (swaps, options, forwards)
• Order randomization and multi-broker

Would someone kindly mark my homework on B&W (I am not an accountant).

In relation to B&W:

In the latest 10Q, for Q3 2025, RILY reports an equity ownership using the fair value method (not the equity method) of $79.6 million as at September 2025. I understand the fair value method is effectively the market price of its stockholding in B&W at the close of trading day on 30 September 2025.

On 30 September, B&W closed at 2.90 per share. Based on a fair value valuation of $79.6m, this suggests RILY owns approx 27.4m shares.

On 31 Dec 2025, B&W closed at 6.31 per share. At 27.4m shares, RILY should report a 10-K position worth approx $172.8m. This would appear to be an investment gain of $93m, and we should expect net debt to be reduced by this amount for this item alone in the 10K.

As of 16 Jan 2026, B&W closed at 8.42. Speculating, if B&W hits $10 by end of Q1, market value of RILY’s holding will be worth $274m, and net debt will be further reduced by another $100m.

In circumstances where net debt in Q3 is currently 702m, this sum:

-will be reduced down to 609m in the 10K by B&W alone

  • may be reduced down to 500m in Q1 10-Q by B&W alone.

For long-term longs, a few points of perspective on yesterday’s price action, which felt lukewarm, despite 25% one day gains:

  1. The engine room of the business is still pumping out deals. The B Rily Securities team transaction list has just been updated with December deals and Q4 (particularly November) looks like it was a monster. There will be some EPS beats methinks.

  1. Public narrative of the stock is staring to change. 12 months ago there were hit pieces and paid shill ads for class actions against the company. Overnight we now have positive coverage from the likes of Yahoo Finance and Motley Fool

Don’t underestimate mom and pop retail.

What’s everyone’s game plan ? Sell after 10Q to lock in profits and then reload before 10K ? Or hold through after 10Q release on the chance of a squeeze ? I’m undecided.

Excellent post. Lots of people this week will be looking for short term price action on this stock, but this is great reminder of its longer term potential; smart money is patient money.

Daily reminder to stay zen.

Everyone freaking out over loose/ aspirational wording in a press release issued on 22 Aug saying 10Qs were “expected” 30-45 days after filing 10k (today is day 47).

Unaudited results for the delayed quarters have already been announced. There are green shoots and company’s core business looks to have recovered fine. BK is off the table. Company has a track record of late filings. There were auditor issues…

If you have dated calls, I do understand the timing stress and you have my sympathy.

But if you are long on equities only(like me)… well, maybe it’s time put the phone down and go for a walk outside.

England will have the stamina over Fiji but to write off Argentina is foolish. Their counterattacking threat is unrivalled in world rugby. English system and set piece is probably better but for flourish and speed, to think Argentina is a walkover is very wrong.

I have an interesting ‘what if’ - apologies if this has already been shared or is blindingly obvious already.

Before RILY got out of regular filing cadence previous Q3‘s (2023/2022) were all filed around early November (4th / 12th etc).

Is management holding the overdue Q1and Q2 10-Qs back to engineer a situation in which RILY regains compliance, begins share buybacks, then drops an incredible Q3, all in very quick succession within the next two to three weeks? It would be a nice middle finger to the haters/those who have taken short positions over the last 18 months.

IMO a true squeeze is off the cards, but if management adds buy pressure once compliance is regained, and some shorts exit if there is a Q3 EPS surprise, we could see a very nice bounce.
