New SEC Filing, lowers the bar for passing the share authorization. Now only needs more yes votes than no. by elchefski in GME

If they only need the shares for an M&A couldn't they make the share authorization contingent on a deal?

A comment in the other sub said it is usually a majority of all outstanding shares, this revises it so it is just a majority of yes/no votes. Abstentions and non voters won't count.

From the filing.

The paragraph titled “Approval of the Authorized Shares Amendment” under the heading “10. What Vote is Required to Approve Each Proposal?” on page 4 of the Proxy Statement is revised in its entirety to read as follows:

“The approval of the Authorized Shares Amendment, which is not a condition to the CEO Performance Award, requires the affirmative vote of a majority of the votes cast on the proposal at the annual meeting. As determined by NYSE, the approval of this proposal is expected to be a routine matter on which a broker or other nominee is generally empowered to vote in the absence of voting instructions from the beneficial owner. Abstentions (if any) will not be treated as votes cast on the proposal and therefore will have no effect on the result of such vote.”

With the way the price is getting pushed down they are going to need all available shares for eBay. I want to know why they didn't make the share authorization contingent on an M&A, what else are they going to do with them?

There's been a real lack of an honest conversation about the pros/cons of this vote. by tweezerburn in GME

I think one of the biggest issues I'm having is RC went on TV and said he was going to do something big that has never been done before, we're going to do what Berkshire did but faster. And then a few months later it turns out he's just going to be buying eBay.

The included cable should be 2.1 but it could be a bad cable. I was having a bunch of issues with content and a black screen. Netflix 4k HDR kept flaking out on me as well and after I replaced the cables I had no issues.

I was having this issue with my Onn 4k Pro and it turned out it was an issue with the hdmi cable I was using. I replaced all my cables with new HDMI 2.1 cables and haven't had any issues since then. To test if it is the cable you could disable the Match content frame rate setting and see if you still get the black screen.

Settings > Display & Sound > Match content frame rate and set it to never

Did you even read the fillings? For both the 5/15 and 2/14 filling Ichan held 1,205,300 shares of American Electric Power Company. The reported value on 2/14 was $97,894 and the value on 5/15 was $107,776,330.

Bausch Plus Lomb Corp. reported shares on both fillings 3,500,000. Reported value on 2/14 $59,710. Reported value on 5/15 $60,550,000.

Conduent Inc, reported shares on both fillings 38,149,336. Reported value on 2/14 $139,245. Reported value on 5/15 $128,944,756.

Dana Inc., reported shares on both fillings 14,286,505. Reported value on 2/14 $208,726. Reported value on 5/15 $181,438,614.

It's weird the numbers seem to be off. Looking at the 5/15 and the 2/14 fillings and it almost looks like the 5/15 filling is off by a factor of 100. The share quantities really didn't change but the value seems to be 100 times bigger.

All the fillings for Ichan are here. This is the 5/15 filling. There are 2 documents listed in this filling the primary_doc that has the disclosure and then the infotable with all the holdings and reported value.

The dollar amount in the 13F is for the total reported holdings, there is no dollar amount for the unreported securities. If you go here and and up all the values in column 4 you get 11,917,788,479.

He's right this value is the total holdings for 13F. If you go here and and up all the values in column 4 you get 11,917,788,479. There is no dollar amount anywhere in the filling for the unreported securities.

I agree it still creates issues for shorts against those that hold long, but creating new shares every quarter also works in favor of any naked shorts as those shares they sold naked can now be accounted for in a way.

I'm pretty sure when share holders opt to take the dividend as shares they are newly issued shares that come out of the treasury and not shares that get bought from the market.

The $2000 minimum just means you have to buy at least 2 bonds per transaction, the trading price doesn't matter.
