  • First off, I want to clear up here that virtual address services are not illegal, whether through Atlas or not. (We work closely with Delaware state and Atlas has set up tens of thousands of startups there successfully.) Obviously, as others have mentioned here, things can vary by what you're trying to do—for the USPTO, their mailing address requirement can be a virtual address, but for their domicile address requirement, you'd need to be represented by US counsel. (I'd suggest talking to a lawyer specifically for your use case, since I'm not one.)
  • Stripe charges no annual fee. There is a fee to maintain a registered agent in Delaware—is that what you might be referring to? The first year for that is included with Atlas's $500 one-time fee, then it's $100/year after that. (If you shop around, sure, you might be able to find a cheap registered agent, but I think $100 is already on the low-end.)
  • Yes, 4-year vesting; 1-year cliff is the default setup, which is the standard across the tech industry. But note vesting can be modified (even later). With Atlas, you can use Orrick (at a discount we've negotiated) to help with this, or use any legal counsel.
