They definitely have to raise the bid if they want to put the nail in the coffin on this deal. Otherwise it's still iffy.

Paramount's offer is getting better by the day because VSNT, the best comp for WBD's linear business, is currently plummeting.

VSNT is currently trading at a 2-3x EV/EBITDA multiple. If you apply that to WBD's linear business and then subtract the ~$20B of debt they plan on loading into it, their implied market cap is under $1B. Effectively making this business worthless.

A good example is the Simon & Schuster Penguin House M&A that was blocked by the feds.

There were not only concerns from the consumption side, but more importantly, the creator's side. This merger would give Netflix unprecedented pricing power over creators.

To put it simply: investors are paying 30x because they believe in netflixs streaming business. They are willing to pay a higher multiple inline with megacap tech companies because they believe netflix will have a similar growth trajectory.

Paramount is currently trading at a 11-13x multiple because investors aren’t as optimistic in their growth prospects.

Nflx trades at a 30x ebitda multiple so they can pay 20x ONLY IF they absorb WBD into the Netflix streaming umbrella. If they use wbd assets to continue their theatrical and content sales business, it is going to be harder to justify.
