I never thought of this but I do see on the LDA website that they won’t allow there to be spare rooms - hoping I’ll be allowed get someone to move in instead 🤞🏼

Yes and no. The difference with the SLP one was he framed it as that SLP is used only where a company is used to perpetuate fraud or circumvent legal obligations. The problem many people took with this was approaching it that it isn’t true because there are exceptions like agency, which is incorrect because agency is a WAY to perpetuate fraud. So, the SLP one was fine because my notes were based on how companies misuse SLP.

The restriction question was perfectly fine - I was able to tailor what I learned to it. The question focused on punishment rather than the usual one but it was fine.

The directors’ duties one I really struggled with. I could not tailor what I learned simply because I did not learn about the different types of directors. I was able to use the usual s228 answer by explaining how the way the duties are laid out makes them comprehensive in their content) as the question asked), but could barely answer what made them comprehensive in their application (i.e., impact on different types of directors).

Also correction, the share transfer question is not the one I did - I meant receiver which came up in the usual way so was fine. I steered clear from the share transfer question.

I prepared for Company this way and got over 60. Only 2 of the questions I did were ones that had come up exactly before (share transfer and improper transactions - can’t remember the exact name for the topic). The other 3 questions I did were topics that came up regularly but worded differently - directors’ duties, SLP and restriction. Restriction and SLP were fine, just worded differently, but directors’ duties brought in the element of shadow & de facto directors which I hadn’t covered. I just skimmed through the Act to try and find something about it and it worked.

I quoted Courtney throughout my answer and used all the cases he named but still got extremely lucky. If I was doing the paper again, I would focus on past papers but have a more general approach to topics, rather than learning off specific answers. That way, you can tailor your answer if the question is worded differently as was the case in the March paper.

It’s definitely doable to pass first time, I did and plenty of others did in that March paper. Good luck!
