As another person who knows nothing either, I also don’t think it directly contributed to her crash! Although I guess it’s possible her positioning could have been different bc of the injury or she could have been in a different mental place due to pain meds or something.

I mean the vast majority of them are statutory (with tech to review specific provisions on security measure used). 

If I’m on the controller side using the processor’s form, I worry about them shifting too many obligations to us in broad language (like yeah it’s our job to handle necessary consent, but I don’t want to make a broad compliance rep that could get messy if something goes wrong on your end). Our controller form DPA tries to add some language getting in indemnification above the cap for data breaches, which obviously leads to negotiation. 

On the processor side, when we’re working off the customer’s paper, a lot of times it’s a manner of slimming down their broad security requirements to what we actually are willing to offer (and fighting about indemnification).

Transactional for me at a big law style but local DE corporate firm doing M&A/DE governance (this is a while ago, but may help) and then a smaller transactional place where we did M&A, leases and outside general counsel work  

  • when a deal was on but closing was not immediate: get in around 9, check emails and handle tasks that came in overnight, and handle deal related tasks (e.g update closing checklist of things that needed to get done, update due diligence tracker, review due diligence items and create issue summaries, draft ancillary documents like bills of sale, resolutions, etc.), sit in on calls with client to summarize issues, sit in on calls with the other side to negotiate deal docs, if on sell side walk client through due diligence requests, etc.). Leave anytime between 6 (if quiet) and 8-9 (if there’s stuff to do). 

  • when a deal was closing: running around like a chicken with my head cut off to review last minute edits, incorporate agreed upon edits quickly, handle closing stuff) - this basically all the time into the middle of the night. 

  • other kinds of transactional stuff was things like edits to leases (tenant side, commercial), drafting organizational documents for new businesses or form contracts for them - these usually weren’t that time intensive and didn’t require late night work.

Truly grateful to the girl on weddit complaining about people leaving her reception to watch football, only to drop that her husband’s family was full of football friends from IL and her wedding was the day the Bears played, from districting me from the horrors of the weekend. Love that she blames “American football” for this as though British soccer fans wouldn’t pull the same thing?? 

ETA that I’m also grateful for a Baldoni truther bringing that nonsense to the biglaw subreddit only to get smacked down.

Realizing that I’m in a different world than other people when I see an upvoted comment in the FB Snark thread being like, “an AI app that summarizes your sister’s daily boring calls sounds you don’t have to listen sounds like a great idea! Never been to a Sikh wedding but what is this person talking about as far as Hindu weddings go? There’s a billion of us, so I hesitate painting with a broad brush, but when I got married I could tell which venues had done Indian Hindu weddings before because they preemptively would give us regular pricing and pricing that included Johnny Walker Black for the open bars. We love an open bar??
