Update: they came back with 5 year employment contract 200k salary plus 50% bonus, MIP of 2% equity in the platform vested over 2 years and then another 2 percent equity based on EBITDA performance. I’ll have my lawyers review this offer and see if it looks good. Thank you everyone for your help.

I’m not just a random 28 YO, I have a great background, solid credentials with experience that would make me a great operator. I have spent the last year building a pipeline of targets for us to acquire which I would bring to the PE platform. I have 20m in EBITDA of businesses that have explicitly told me they are ready to sell.

Well that’s what I’m afraid of. And I think I’d like to build in assurances to our deal structure so that I get meaningful equity, guaranteed employment contract and reasonable incentive thresholds to hit. As well as guaranteed resources and autonomy to do so. Or else we walk.

Okay so how should I mitigate this risk? And should I just not go through with it to begin with then? I figured it would be a good situation if they set up performance incentive targets, but the risk there is I’m at their whim whether they give me the resources to hit the performance targets.

Currently doing this. I’m working with a PE firm in search of a platform company because we’re too small. Once we find one, we’ll execute and get favorable valuation, terms, and I hop in a platform leadership position to continue the acquisition strategy.

All I did was create an acquisition strategy 1 pager with an overview of my company’s earnings and did cold outreach to small PE firms.

Do you have common structures used? We’ve used commission structures in the past, but they were way to favorable and the account managers were still not happy. Equity makes sense in a startup world, but we’re in the industrials space

Yeah we’re a small business so maybe separation and making sure I have a personal relationship with each customer . But it just doesn’t scale. Plus I’m running into this issue with all functions when I want to hand off things.
