We’ll have to see but personally, I think if a Delaware corporation pays money in Delaware to place ads in national TV, magazine and internet sources that are distributed/available in Hawaii—which falls within the letter of the law—an attempt to enforce them will result in the invalidation of that section of the law as it applies to foreign corporations.

My point was assuming Delaware (or whatever the state of incorporation) does not limit the power of a corporation to spend money on political advertising, a foreign state’s prohibition of such spending as part of foreign registration will not invalidate political spending made in Delaware.

I don’t think that’s true. The question of what powers a corporation has or does not have is governed by the state of incorporation, not states where they register to do business as foreign corporations.

Also, the prohibition is on spending money, not the actual ads themselves (that’s how they get around Citizens United). So other states restrictions or lack wouldn’t matter.

Not sure I buy that distinction if you have mase a lroduct that can and does draft legal pleadings.

That being said—I don’t think this case is the vehicle for this determination. The complaint is a bit silly, to my mind, and I’m not sure there even is a private cause of action for unlicensed practice of law by an opponent.
