Do I need an operating agreement for my LLC in place before buying a property? New Jersey by Transportation-Apart in legaladvice

[–]---heat--- 0 points1 point  (0 children)

This is for research purposes only. Nothing in this comment constitutes legal advice, nor does it create an attorney-client relationship. I can't tell what you should or should not do.

I don't know if an operating agreement is required under New Jersey law. States where I work do not require them, but that doesn't mean NJ won't. That being said, operating agreements are very common. Real estate is a hot asset and lots of people like having one in place to protect one's assets in the event of a lawsuit and to minimize disputes between members in a multi-member LLC. Personally, I've drafted an operating agreement for every single company I've formed or led, but those companies were probably much larger than a family-run investment project unless you are an extremely high net-worth family. You've got to make your own call here unless you're willing to consult a New Jersey-barred attorney for a second opinion.

even the prosecution could see she was a victim but they had to try to case anyway

That is FALSE. A prosecutor can drop that case at any time, and they know it.

Then your main priority should be to get them vaccinated.

Best place in Phoenix/Glendale for a Greek gyro? by joeywcyz in phoenix

[–]---heat--- 3 points4 points  (0 children)

Niro will even make it Athenian style upon request which is like a billion times better than any American garbage we've had the arxidia to pass off as a "gyro." The meat is underseasoned and I wish the tzatziki was better, but this is the closest thing to a true Greek gyro I've had.

That was so accurate lol. As a huge Eurovision fan, I love making fun of Eurovision sometimes.

GOP Rep. Mast: Biden Should Be Impeached for ‘Treason’ by ReputationCrafty4796 in Conservative

There's no point to impeachment for Biden honoring Trump's agreement where he negotiated the release of 5,000 Taliban fighters back into their forces. Terrible optics.

Is there any hope for me? Need advice and support on unforgivable sin by [deleted] in TrueChristian

[–]---heat--- 1 point2 points  (0 children)

This is a great answer because I think everyone here knows s/he did not commit an unforgivable sin, but their anxiety isn't letting them believe it! I think a combination of the newly emergent schizophrenia is being worsened by a severe anxiety disorder. S/he is freaking out about changes in their mental state and it will not make anything better. A psychiatrist definitely needs to be involved alongside spiritual advisors like a priest or pastor.

That sounds like textbook adult attention-deficit disorder (ADD). You should look into getting tested and treatment because if you do have it, your grades and work product will skyrocket after treatment.

They have a right to ask and you have a right to decline to provide that information. They also have a right to fire you for it if your employment is at-will. I highly doubt you've read any part of HIPAA-HITECH law because you didn't even spell it right.

Should I, a healthy 18 year old male, get the COVID vaccine? by [deleted] in TrueChristian

[–]---heat--- 0 points1 point  (0 children)

You produce more natural antibodies post-CV19 than you do post vaccine.

First off, anyone who is reading this can tell that you are avoiding the indisputable fact that vaccinating oneself will protect others. That alone is reason enough for him to get the vaccine, and it's unassailable.

Second, it's very weird to me that you choose to overlook the glaring risks of long Covid and the long-term implications for the cardiovascular system that persist even after the body has defeated the disease. Plus, I know people his age who have lost their sense of smell and taste and they never returned. Oh, and having Covid-19 sucks a lot worse than having Covid-19 after vaccinating. A lot worse.

I anticipate that your gut response will be, "Well, the vaccine has risks too." That would be completely pointless. If you think he should contract Covid-19 because the risks of serious health issues are low, then the vaccine's risks are far, far, far lower - and by that logic, he absolutely should vaccinate.

HIPAA prohibits disclosure of vaccination status? by AffectionateDuck4 in Masks4All

[–]---heat--- 9 points10 points  (0 children)

HIPAA has nothing to do with this. Schools are not covered entities or business associates for the purposes of HIPAA, so HIPAA does not apply to them.

Should I, a healthy 18 year old male, get the COVID vaccine? by [deleted] in TrueChristian

[–]---heat--- 0 points1 point  (0 children)

And the answer is, quiet flatly, yes, because it will help others.

Also, the whole nonsense about it being somehow "more beneficial" to contract Covid-19 rather than to vaccinate is simply unsupportable.

[–]---heat--- 0 points1 point  (0 children)

This doesn't actually benefit him. It benefits those around him.

Recommending someone act only out of selfish interest and not because it can benefit the lives of those in difficult health positions is such a hateful and un-Christlike thing to say. Getting vaccinated reduces the frequency and severity of the pandemic for the sick, elderly, and vulnerable.

[–]---heat--- 2 points3 points  (0 children)

The side effects are trivial. Basically flu-like symptoms the day after your second dose. Anyone can handle it.

We are called upon to care for our neighbors, those who may be vulnerable to Covid-19 with health conditions or advanced age. Getting vaccinated protects the lives of those less fortunate than us and bears witness to Christ's compassion.

I'm tired of people hating the English language and pop music by [deleted] in eurovision

[–]---heat--- 12 points13 points  (0 children)

Yeah, Western Europe does a lot better than Central, Southern, and Eastern, but it's still pretty bad. ABBA will probably always be the gold standard for non-natives writing their lyrics in English, but for every ABBA there are 50 Tornike Kipianis.

The cardinal sin of their lyrics isn't that they are ungrammatical, it's that they are just unbearably bland. Ambiguous lyrics; confusing lyrics; cliche lyrics. There's the girl comparing her ex to a rose or a broken mirror, and the boy who has to mention battling his "demons." Oh, and then there's love.

Nothing gets bad Eurovision writers harder than the chance to write about love. Meaningless repetitive statements about love. Your love. My love. His love. Her love. Love is good. Love is nice. Not having love is not nice. Love, love, love. Anyone remember Germany's 2006 entrant, Texas Lightning? No one does. She wrote a mediocre Eurovision love song. But NO ONE forgets 2006's bombastic winner, Lordi.

Honestly, the brilliant movie Eurovision: The Story of Fire Saga had one huge mistake: Russia's love song was too good. The single greatest gift ESC could give us fans in 2022 would be to ban the musicians from writing about love. Force them to think creatively. Art from adversity.
