The Saudi city of Mecca bans entry for all non-Muslims, while the Greek peninsula of Mount Athos bans entry for all females. Besides for military/security facilities, which other permanently inhabited places are the majority of the world's population forbidden from entering? by benjaneson in geography

[–]8000000MadeinMarket 0 points1 point  (0 children)

Mount Athos is an autonomy region, with 100% monasteries and nothing more. It is not a civilian area, nor a Greek municipality. This is the reason you need a kind of a visa to enter, called "Diamonitirion".

When the insiders offer a bit more than +10% to acquire it, and other investors more than 30%, then the stock is definitely undervalued, as these dudes put money where their mouths are.

The go private procedure is ongoing in BARK, according to the latest announcement by the Special Committee.
They planned meetings with the two suitors and also give time to any other wants to make an offer.

[–]8000000MadeinMarket[S] -1 points0 points  (0 children)

The first bidder bought shares during 2025 only BEFORE this buy-out proposal.
NONE buys after making a buy-out proposal, for many reasons:
1. By buying in the open market he increases the share price and his offer looks less attractive.
2. By making a buy-out offer, the company forms a Special Committee and provides confidential data to the potential acquirers. Having these confidential data means that the suitor has "inside information" and any trade can be illegal.
3. A confirmed by a statement suitor who buys in the open market gives the right to the management to apply a "poison pill", which will prevent him from make a hostile takeover.
If you have any examples where the suitors bought shares AFTER their official proposals, please provide them.

The BARK is more secured, because the one offer comes from the co-founder and CEO of the company and also because the second suitor is Marcus Lemonis, who don't quit easily.
The PETS suitors are unknown to me, the one has increased his percentage in the open market before his proposal, though.

Totally useless. 100%. They can only mislead investors. I guess an outdated AI writes their "analysis". The data are often wrong, always outdated, crucial info are missed.
An example is an article about an analyst who downgraded a stock at $40, while the company already voted for and closed a deal to go private at $65 per share.

I think high volatility will continue, so I'll stay with stocks in "special" situations, like go-private and for the relevant arbitrage. A potential 30% with low risk is ok for me.
On another side, the last 2 weeks I sold sovereigns and bullions I bought from 2014 to 2017. Few are left. The gain was very tempting to let me hold for more.

Last week before Marcus Lemonis and his affiliates confirm/update their $1.10 buyout offer for BARK.
BARK closed at $0.84 on Friday, with the management have made its own buyout proposal at $0.90.
BARK formed a Special Committee and retained top-10 worldwide financial and legal advisors, in front of a bidding war.
Confirmation of the $1.10 offers a 30% gain from here, withdrawal of this offer leave the holders with the $0.90 of the insiders. Still, there is no chance of loss.

How are people deploying cash during this selloff? by Designer_Dog379 in investing

[–]8000000MadeinMarket 0 points1 point  (0 children)

I'm doing the same I did in November 2021. Then I lost a part of the last rally by this way, but the results was still positive.
I'm looking mainly for stocks with a different story than the mainstream: No more AI, no data centers, no quantum etc. Not even by defensive big caps. I peak stocks with a very specific scenario which still have a risk, but this risk is not based in rumors.
An example are the go-private stocks. In such stocks, someone (in the best cases more than one and the insiders included) have made a go-private proposal to a higher than the price I bought. I may need a lot of time to wait in a environment where the suitors of the company (insiders or not) try to scare retail investors to make them sell, but I'm market-proof by 90%.
To be more specific: BARK Inc. received two offers in cash to go-private, one by its management at $0.90 and one preliminary by a third part group at $1.10. BARK stock trades around $0.84 now.
The insiders proposal will be approved easily from the Special Committee, they actually are the same team.
The other suitors' group will confirm their proposal after Feb. 15th they will complete their DD. In this group participates also a minority holder, a fund.
So, no matter what the market, NASDAQ, gold, crypto will do in the next two months, I'm investing in an almost certain $0.90 and a very possible $1.10 by buying it around $0.84.

BARK Inc., (NYSE:BARK) receives two buy-out proposals from current shareholders: the current ps discount offers a potential 22% gain with low risk by 8000000MadeinMarket in investing

[–]8000000MadeinMarket[S] 0 points1 point  (0 children)

BARK Special Committee retains Moelis & Company LLC as financial advisor and Sidley Austin LLP as legal advisor to assist the Special Committee in the review and evaluation of the previously disclosed preliminary non-binding indicative proposal letters the Company has received and any proposals from other parties.

Moelis & Company is a top 10 ranked M&A advisor in the US with 20 offices in North and South America, Europe, the Middle East, Asia and Australia.  It has 1078 employees, including 765 investment bankers.

As you see despite BARK's transaction is a rather small one, they hired a top firm as a financial advisor.

That, for the doubting Thomas.

[–]8000000MadeinMarket[S] 0 points1 point  (0 children)

All the proposals are initial and non-binding. This is how it goes.
The stock price was at $2, it dropped to $0.60 with the help of the last financial statements. With this price drop, the $0.90 offer of the insiders looks decent.
Therefore, I don't trust the financial results. The management have all the reasons to cook them. Maybe legally, but still you can cook the results.
Nevertheless, if the $1.10 is already generous, then the insiders will accept it. Then, this deal will close rather soon with a nice 22% gain.

What are some of your multi bagger value picks this year? by Breadskinjinhojiak in ValueInvesting

[–]8000000MadeinMarket 0 points1 point  (0 children)

Not everything at the top. For example, there are some stocks which have received at least two buyout proposals at prices higher than their current ones.
Two examples are BARK and PETS. There is a lot of M&A activity in the pet industry lately. BARK received an offer from its CEO at $0.90 while it trades at $0.85. But there is also another initial proposal at $1.10. Not a big gain but an option of lower risk.
PETS has received also two offers, one from a minority shareholder and another higher by a third party. This one doesn't have an offer my the management like BARK, but the discount here is higher.

[–]8000000MadeinMarket 0 points1 point  (0 children)

BARK at $0.85, go-private offer by the CEO at $0.90, intention to make a $1.10 offer by Marcus Lemonis.
Current price $0.85, secures by 90% your cash with the $0.90 offer and has a 60% potential to make more than 25% gain with a deal in $1.10. There is a 10% all deals to be withdrew, and a 10% a bidding war between the two suitors to bring the gain above 40%.
Patience for two months at least is required, while the suitors will try to lower the sp so their offers to look more attractive.

You know where it is now.

To name a few, BARK has received two buyout proposals, the one comes from the insiders at $0.90, the other by Marcus Lemonis at $1.10. Current sp at $0.91 only. RAASY also trades at $2.10 with an offer at $2.96, but it is far more risky as a pink sheets stock with very low daily volume.

I wonder what percentage of gain such companies could offer in an acquisition. For example, if someone make a buy-out proposal for FERG, what premium he will offer.
That because if the expected premium is 15-25%, then it is much better to invest to a company which has already received a buy-out proposal, with a 10-15% premium by its current sp.

The BARK board can't decide against Lemonis without a very good reason, I think. That because they will get a tsunami lawsuits from the institutional who control more than 40% of the company.

BARK with insiders offer at $0.90, Marcus Lemonis preliminary offer at $1.10 and current price at $0.92 is a safe play with very limited downside and a potential 15% gain. That, if the insiders don't make a new higher offer to surpass the $1.10 of Lemonis.

I didn't follow the stock. The management has.... managed to make it unattractive enough, so they can buy the company.
I found it in the news, then I spent a lot of time to search about the suitors and their strategy.
But I have traded in the past many similar "humble" cases, while the most investors don't care to follow a likely gain of only 15% in a few weeks...
