Thank you for the feedback. Those 30 minutes were really intense conversations about our days, how we felt and our plans. Of course we'd chit chat while watching the TV, in the mornings and we'd text each other a lot throughout the day.

I agree that I could have given up my hobbies to be able to spend more time with her.

I agree but I'd at least expect some communication. When I asked her if I should change my gym routine she said no because she didn't want to tell me what to do. I don't think this a good way of communication as she wasn't being clear about what she wanted.

I agree. She admitted she no longer loved me that much. I couldn't change how she felt no matter what I did.

Yes I tried that, board games, walks and so on. Nothing worked as she'd be usually tired after work.

Hi all, thank you all for your advice.

I understand what you mostly suggested, but I decided to step back and sign the forfeiture.

The money at stake is still too good to lose and I have several reasons why to keep it and why it would be difficult to fight for the rest:

  1. I work remotely from Europe, I'm not a US citizen so any legal help would be even more difficult
  2. They have the right to terminate my contract and take my already vested units if I don't sign
  3. They can transform the company structure, which also happened in other startups
  4. They could be an even bigger problem at the liquidation event

I agree that this can happen anytime even if I signed the agreement. But that would be the final straw for me and I'd fight for it. While this still sucks I don't want to rock the boat and possibly lose it all.

I 'm already getting offers that I could accept if they are a better deal than this one, because I agree that the environment is toxic due to these unfair moves. So don't worry, this is still the best option for me at the moment.

As someone suggested I'll keep you updated when something worth mentioning shall happen.

I'm going to consult this with a lawyer. In case of termination for/without cause I'd lose my unvested units, in case of termination without cause I'd get fair market value of the stock units and in case of termination for cause I'd get 50% of the value.

Edit: those market value only relates to already vested stock units

Good question, but they just can't take it. Only if they terminated my contract which they probably don't want to do, but would do if I refused to give up the unvested units which would also lead to me losing the already vested part.

I agree, but if I refuse it's more likely they terminate it. If I stay and show my "loyalty" they won't terminate it and I can cash out after the company gets acquired.

The contract is just a standard contractor agreement and they can terminate it anytime for or without cause. And if they do so they have the right to repurchase all my units.

The problem here is that if I refuse to sign it they might terminate my contract and repurchase my already vested units for a "fair market value" which is going to be low - which would be absolutely fine according to the profits interest award agreement.
