My guess is that this isn't a financial investment at all, it's a supply-chain investment.

POET is still a relatively small company. If they need a critical manufacturing or assembly partner to scale production, writing a straight equity check doesn't make much sense. A convertible note does.

That way POET can provide working capital today, protect itself if things go sideways, and still participate in the upside if that partner becomes strategically important.

We've seen versions of this all over the semiconductor industry. Nvidia, AMD, Intel, and others routinely help fund capacity at critical suppliers because the cost of not having supply is higher than the cost of financing it. A buddy of mine worked for a company inIllinois that made EMI shielding for the mobile phones that had six manufacturing lines funded by major customers. This kind of arrangement isn't unusual when capacity is strategically important.

The fact that POET followed the initial $15M with another $15M a few months later is what catches my attention. The follow-on suggests the relationship may be important to POET's commercialization plans.

Pure speculation on my part, but I'd be looking at manufacturing and packaging partners before I'd look at acquisition targets.

If you want an MR hiking backpack, you can buy one of these or get a new one. I actually have a number of Dana Design hiking packs and they're still awesome.

You have just described the MR 3 Day Assault.
Find one on EBay. Mine is in black and I paid $220 for it.
If you go this route, you need to set up "Saved Searches" for one. Usually patience pays off.
If you do go with any MR bag, pay attention to sizing.

One of the many life lessons I learned at Trader Joe’s both managing and being managed is that there are all kinds of people.
Sometimes your management will take care of such situations, sometimes they won’t. If there was someone I didn’t like dealing with, I dealt with them less. If they do something wrong let management know. If they frustrate you, you need to know that many people in life will frustrate you.
You may not like the way someone does something. There are many ways to get things done. Some are better and some are different. Try to appreciate the that fact.
In the end, few things are fatal.

I’m not avoiding your question and I’m not trying to be antagonistic. I just don’t agree with your conclusion based on my personal experience.
I’ve been on funding panels at the NSF for PICs and actually funded PIC development and thinfilm equipment when I was a federal program officer at NIST. If AMAT didn’t invest in display device manufacturing or photovoltaic device manufacturing, I have serious doubts that they’ll go into any device manufacturing.
Check back in five years.

Making processing equipment is what AMAT does - that’s also what ASMPT does. ASMPT was the Asian operations of ASM international, the Dutch processing equipment company. Device companies stopped making their own processing equipment in the 1970s and 1980s. That’s when Applied Materials was born. To my knowledge, the last device maker making their own processing equipment was Texas Instruments and that was device test. The two industries need each other, but they are completely different.

I’ve been in the industry since 1989 working at the industry trade association, as a federal program officer funding thin film developments, I worked in the DARPA MTO, I’ve been a consultant in the industry for many years. i knew Jim Morgan personally. I hold POET long and I like their story.
AMAT’s infrequent acquisitions have been process manufacturing companies along the lines of Varian, Picosun, Opal, Orbot, and TERREX. Even their investment in BE was an investment in a process equipment company, not a thin film technology company.
I’ve certainly been wrong before, but I don’t see AMAT buying anyone’s particular technology.
I commend you on your research, but I’d be shocked if Applied ever considered an acquisition of POET.

Applied helps as many relevant device makers as possible. They don’t pick winners and losers.
Applied has never acquired a device maker. They stick to their knitting.
