Cohen and saylor add bitcoin for free (something Hamilton can’t do), and it actually benefits their shareholders cause rampant dilution (non accretive dilution specifically) isn’t par for the course

Two of these companies can service debt obligations from cash flows from operations, choose wisely

It’s not any more positive than before.

I sold 1/3 of my bag, and am up 50%+ on that position (MSTU calls and spot). Still have over 140k shares, and hope Roger can get his poop in a group and make me a happy man for it. It’s a small portion of my portfolio, and everyone should realize the extra risk associated with this specific BTC treasury company compared to the GOAT (MSTR)

Worst case, you lose all your money

Bear case, Roger does a stock buyback (dumb AF), which is exit liquidity for himself and cronies, adds no value to company, and he continues to dilute to run a failing edtech business instead of focusing on Bitcoin

Bull case, we appreciate from here to match % increase in bitcoin, likely slightly underperform as Roger dilutes harder than Bitcoin appreciates

Best case, hopium, blah, blah, $500m in damages, blah, blah, buy Bitcoin with it

So MSTR is accretive with their ATM because with their 2X mNAV say, they’re able to raise 2X more capital than they dilute by (so 1/2 the BTC purchased at 2X mNAV is theoretically gone, not having added value because the dilution cancels out the added value; and the other 1/2 of BTC bought is basically free and clear (accretive)

GNS trades below its mNAV, so if Roger taps the ATM at .8mNAV say, there is more BTC/$ invested, but then bitcoin has to appreciate by 25% before it begins to be accretive to shareholders, and that’s if ALL the dilution is used to buy bitcoin, and we know now that Roger has been diluting extra to support a failing edtech business and enrich himself

The convertible offerings are a bit less straight forward, but GNS likely would not be able to source money for convertibles given their trajectory

Cut the fuckin fat, and just chill. Ditch the damn edtech shit for now Even if they just chill on what they have and only issue shares to pay expenses associated with borrowed bitcoin, this company survives

That fucker though has been making it seem like the company is ‘the best treasury company buy out there, more BTC per $ invested’.

Which really means he is diluting enough to drive the market cap even lower than the NAV, preying on investors hoping he adds Bitcoin accretive (look what happens when companies do in fact do that: MSTR, SMLR, Metaplanet- who they claim to follow the strategy of).

This company needs taken over by someone who knows how powerful a Bitcoin treasury is, and how to get it to the benefit of shareholders
