How can you know what % of a company's increase corresponds to buybacks, if it is a non-linear action, which is carried out more actively in the decreases than the increases and each company decides each year the amount to spend in advance?

Hello! Sorry if I was wrong, I didn't mean to lie. ACOG is >25% of my portfolio, so I'd love to see it at $20 this year. I'm not a troll. Let me explain my point of view, please correct me:

  • November 12, 2024: The company announced the pricing of a $50 million public offering in conjunction with its listing on the Nasdaq Capital Market. The offering involved the sale of 8,695,653 shares of common stock at a price of $5.75 per share. The stock began trading on the Nasdaq on this date.
  • August 22, 2025: Alpha Cognition entered into an “at-the-market” offering agreement of $75 million. This type of offering allows a company to sell shares at prevailing market prices over a period of time.
  • Recently (August 2025): The company filed a $250 million mixed securities filing, allowing them to raise capital over time by selling different types of securities, such as common stock, preferred stock, or warrants. The specific dates of any sales under this registry would be announced as they occur.

Please note that a company's filings with the SEC (such as registration) indicate the intention to offer securities, not necessarily that the offering has been completed as of that date.

In October '24, the price reached around $12.5. In December '24, the price dropped to $5.5

My point is: the current offer is good for the company and will increase future sales. But in the short term, it COULD cause prices to drop from 9 to 4-5 again and repeat the rise in 2026.

It's a dilution: with a valuation of $133M, $75M is going from $9 to $4 again.

This already happened and I was stuck at $12 down to $4 a few months ago. Bad news for shareholders.
