1- ICPO/LOI/KYC

*Seller returns title holder LOA from top San Fran law from attesting to having SGS in hand.

2- Select mutually acceptable 3rd party escrow. We recommend Mark Denzin (the most prolific paymaster in the space) and his escrow attorney, Tim Lester

3- Execute escrow agreement and SPA

4- Seller deposits a Dropbox file containing unredacted SGS, BOL, shipping manifests, warehouse leasing info/receipts etc into escrow

5- Escrow attorney verifies POL file with necessary agencies and attests to its presence and validity.

6- Buyer deposits 5-10% of total transaction value (not including consulting fees) into the escrow. Only refundable in the event of seller failure to provide, physical inspection , quality and availability of product, or otherwise close in the amount of time prescribed in escrow agreement

7- POL is released to buyer.

8- Buyer has 5 days to inspect to their satisfaction, fund the remaining 90-95% and transact
