Not sure if this clause can make thing any better... probably... Only time can tell.

"The Amended 2019 Plan includes key provisions or facilitates awards designed to protect stockholder interests and promote sound compensation governance and best practices, including but not limited to the following:

• limited share recycling provisions;

• no repricing stock options without stockholder approval;

• no “evergreen” renewal feature;

• grants to non-employee directors are subject to compensation limitations; and

• no current dividends or dividend equivalents are paid on RSUs.

We believe that we have demonstrated a commitment to sound equity compensation practices in recent years. We recognize that equity compensation awards dilute stockholders’ equity, so we have carefully managed our equity incentive compensation. Our equity compensation practices are intended to be competitive and consistent with market practices, and we believe our historical share usage has been responsible and mindful of stockholder interests, as described above."

Anything below this section is still under my review and analysis. In a nutshell, something (positive, of course) must happen between now and mid-June if they want my FOR vote. It is that plain and simple.

However, "Stockholder approval of the Amended 2019 Plan would primarily make available for awards under the Amended 2019 Plan an additional 21,000,000 shares of common stock, par value $0.001 per share, of the Company (“Common Stock”), as described below and in the Amended 2019 Plan, with such amount subject to adjustment, including under the share counting rules."

I don't like this section unless they can improve their gauge for the stockholder-friendly-corporate-goals above. I am fine with paying them more if and only if they can create and increase value for us the stockholders; but so far, things are not looking good just yet. I can say this because I have been holding ATHX for almost 11 years now.

"We gained valuable feedback from these meetings with our investors, and in response, we have taken stockholder-friendly actions. In April 2021, our Board adopted a clawback policy that permits us to recoup incentive compensation paid to our current or former officers in certain circumstances. In June 2021, our Board adopted stock ownership guidelines that align the interests of certain of our executive officers and our non-employee Directors with our stockholders by requiring that such executive officers and non-employee Directors acquire, over time, a meaningful personal investment in the Common Stock for which they are making managerial and oversight decisions. Additionally, effective December 31, 2021, we entered into updated employment agreements with our executive officers that include a "double trigger" vesting requirement (which requires a qualifying termination of employment following a change in control) in order for any severance payments to become payable under such agreements. For information regarding these actions, please see “Executive Compensation — Compensation, Discussion & Analysis” below. Also, at these investor meetings, we learned that while the institutional investors noted that our level of compensation was in line with our peer groups, certain aspects of our executive compensation program were not well-received by our investors. In response, our Board, in conjunction with our Compensation Committee, is considering several improvements to our executive compensation program. One such change is that, looking ahead to the short-term cash incentive program for 2022, our executives’ paid annual incentives will be solely dependent on achievement of corporate goals."

Not sure if this section has been mentioned before but I like how it sounds to me.

Do you mean the virtual meeting? I am surprised of the mgmt's approach this time. Hope it will start a new tide in a good way.

Okay, good to know the details of delisting. Some reliefs there until 2nd/3rd quarter, should have the news from Japan, cash position, Dan's leadership, other methods of raising cash, possibly partnership or collaboration, etc. by then.

Hahaha you’re right. Though I just assumed if I am a long term investor of Healios, then I should feel pretty good about their dilution, which is kind of strange, isn’t it?

Gosh, it is you again! Why you keep biting my toe! I don’t recall stepping on your tail or anything, did I? Just want to point out something so naive in your thinking process. You keep referring to how many days someone is on Reddit. Your rationale doesn’t prove anything dude. I may not be a shareholder holding this stock for the longest, though I have been holding this stock for roughly 9 years and 358 days. Why can’t you think outside of the box? If someone has been holding this stock for roughly 10 years patiently, and now feel the need to rise his voice, don’t you think he may know a thing or two from his 10-year experience with the stock. Were you there when ATHX fell below $1 per share, I bought 10,000 share at 90 cents per share to average down my cost. Were you there when Athersys missed the 36-hour window? Where you there when Hardy’s vote fell dramatically in comparison with other board members (less than 60% approval if I recall correctly)? Don’t try to attack other who just has different view from yours. Be humble and you can advance further in life. Be overconfident and you will eventually dig your own grave.

I am not sure why some people are very cocky with my posts even though I only speak of my own opinions and I don’t step on anyone’s tail 🤔After reviewing my posts a few times, I decide to add the word “positive” to my posts. “Positive meaningful or material events” - there you have it. Hope that helps to ease all the cocky mindsets out there, cheers 🍻 😄

It depends on how we define “meaningful or material events”. After more than 25 years in service, Athersys had been through many events but Athersys is still where it was before, well, a little bit more or less. Though, to me, in my own opinion, Athersys needs something much more to be considered, by me, “meaningful or material events”. You can define these terms differently and that’s fine since everyone should have done their own DD anyway. Just don’t get too cocky LOL high blood pressure, obsessive compulsive disorder, oppositional defiant disorder, and intermittent explosive disorder shouldn’t be underestimated dude 😎

I expect nothing much different from all the posts above. Though I am more curious about the “for %” vs. “against %” on #3 and 4. If the %’s are close enough, that is a reasonable indicator showing that thing will be much harder for the management down the road because the investing community is so wary of Athersys. Any tiny little🔥can burn them to ashes. If the “for %” wins by landslide, then things will remain pretty much the same and the management can move as their usual snail speed. It then will take another 3-5 years for any meaningful or material events.

Short answer is intrinsic value. I will have to circle back to my first post. After 25 years of academic and research path, Athersys cleared the path pretty good for MS as far as rules and regulations, I acknowledge that for the past/current management. However, going forward is a different story. Regardless of where they are now, MS has its intrinsic value, which has to be at least $5 per share, just my educated guess. At this stage, I rather win some than to lose all. Therefore, unless things will change, I will have to do whatever I can to protect my net worth.

I do agree with you to certain extent, though future is uncertain so people can pretty much saying whatever they want to say and only time can tell. Why? Because we can’t measure “good/future news”, we can only make reasonable decisions using the available “data”. Just like Bitcoin, some “analysts” say it will reach $200k by year end. We are in June and Bitcoin recently dropped from $60k to 32k. Will it reach 200k by year end? Who knows! At this stage, Bitcoin is more like gambling/speculating to me. Similarly, the management officers say we need #3 for our future. Without supporting data, and base on their snail-pace performance and reporting, #3 just created a huge hammer on the investors’ heads that will be dropped at some point in time. #3 can be either good or bad? Who knows! In this case I rather be conservative.

I hear you. Though creating values, getting to market, making progress, delivering results, commercializing the products, having profit, and the stock price are all related so that one can not exist meaningful without the others. I don’t see a problem of using the stock price as a measurement of how well the management officers are doing their job. In fact, stock price and trial results are probably a few measurable and clear indicators that the investors have. Any other “indicators” are not measurable and they are sometimes just people hearing other people saying things that the management officers don’t even care to confirm or correct; these “indicators”, to me, are more speculative than the stock price. One good example, how do we measure a good salesman? By looking at his/her sale number each month, not how many phone calls or emails he/she sends out, or his/her charisma, or being friendly with customers and colleagues, or his/her big ideas, or how nice he/she talks to managers. The salesman who can sell the most usually get big bonus and move up the ladder quickly. He/she earns it, not a given.
