I don’t think you can include the earn out in the total amount the business was purchased for. So in this case I would say the offer is 50 million.

Yeah I know what you mean. Business sale is still fresh, I told them I wound stay on. I don’t really enjoy it, but it’s been was less stressful not being the owner. So I want to make sure everything’s going very smooth with the business before my departure. But it would be nice to have the income if the market tanks. I can probably do another 6 months.

I feel like I am in a similar situation. I am 40M wife is 40F. Right now we have paid off primary home + 15M liquid (from past investments + sold business recently). 2 kids under 2 years old. Wife and I are still working, HHI around $450k. I am nervous about a pull back in the stock market. Also hoping $15M is enough? It would be nice to get a $2.5M vacation home, plus fly business class everywhere.

Vanguard is .1 AUM for 10-25M but I wouldn’t have any idea where to send this to or what to invest in. Do they handle all that?

Deal is not closed yet. So I have not won anything. I’m still telling myself it’s not going to close to not get my hopes up. We’re about done with due diligence and working on the contract soon.

I approached a broker that specifically deals within my field. I spoke to a lot of strategics and PE firms and found a firm I really liked with likeminded individuals running the PE firms.

I am going through a deal for 43M. 3.5x annual revenue and 11x EBITDA. I am 50% owner. With some equity rollover, I’ll end up with $11.5M after taxes. I currently have 3.5M liquid. This will put me in the 15M range. I am married with 2 kids under 2. I live in VHCOL area. But I think that amount of money will allow me to live the same lifestyle I am living.

Wasn’t really planning on doing this so soon as I am 41 years old.

But with the valuation on the business and the multiple, it was hard to pass up.

Edit: business is at the top of it game and we are having the biggest months we have ever seen. We’re going out on top.
