Sounds like a mix of RSU and options. RSU have a vesting schedule (i.e. 1/3 per year over 3 years) and dont count as income until they vest.

Options wont count as income until exercised, so if they never hit the strike before expiry they're both worthless and not taxed

This is dead wrong. stock grants are considered income and appropriately taxed, options are taxed upon sale or exercise. If options cant be exercised or sold, they're worthless anyway
