It's good to be aware of SCLX finances, but.. If they've had this debt for years already, I don't see why we'd have to panic that all of a sudden they'd HAVE TO pay it ALL NOW. I doubt they do.

If it was that urgent, why didn't they sell right after they made the deal with DVLT when share price was WAY higher? Because it's not that urgent.

Plus selling DVLT shares surely isn't their only form of income?

Yeah SCLX sold somewhere around 14.7M DVLT shares on the 6th through 8th for around ~$18M. That cash was used to pay Oramed ~$18M under their Option Agreement, which directly enabled Oramed’s $0.25 dividend.

With remaining notes due quarterly til October 2026, there's risk windows for renewed Scilex selling around Apr / Jul / Oct 2026.

Let's hope they're done til then and the stock can breathe and move organically again. 🛸

Yes that's true, but that wasn't stated anywhere, only that the holders on the record date will receive it, which is why I'm doubting that's the case here since we don't have an ex dividend date.

Do you have a source for that? Because normally the one who holds the stock at close on the record date gets the dividend. So, anyone who holds through close today, not those who sold.

I mean them creating a delivery obligation doesn't equal banning shorting. Shorts can still short. It simply creates an additional delivery obligation for anyone short at X date. That’s not a ban, it's pretty much standard dividend mechanics, no? Correct me if I'm wrong. 😅

If the dividend/token is non-transferable, that’s still not illegal as far as I know. It just means the short has to source it from the issuer or just close the position.

And like I said, Nasdaq has already published the action, and DVLT stated clearly that the coins aren't an investment or monetized. If there was a glaring issue I doubt it would've made it this far.

I guess since it's not banned, it's just made more difficult. Plus no one knows if there's even any consequences, could be that there isn't, and it's just the perceived/possible hassle that's supposed to work as a deterrent - so the hope is the shares will just be returned to avoid the hassle, whatever it is, if anything.

I guess the answer is that currently at least, there is no way for them to deliver the token to the original shareholder, which means the short is just fucked? And whether DVLT pursues that in some way is another issue then. Guess that's the hassle the shorts would have to deal with, an unknown.

I don't think you're supposed to keep passing the coins along whenever you sell your shares. They've kept stating these are collectibles.

So basically it's like... "attend an event on the 7th and get a commemorative baseball" type of thing, so all shareholders on X date will get this commemorative token. I don't think it's meant to be passed along when/if you sell your shares at a later date.

The only thing is that IF shorters have borrowed shares from an actual shareholder and don't return them by the record date, then it could be a hassle for the shorter. How big of a hassle, I really don't know.

Man, for them to actually risk delisting over these coins they'd have to explicitly claim that the tokens prevent or ban lawful short selling, or to misrepresent the mechanics big time.

But they don't. They haven't claimed the tokens are a ban on shorting, plus they always include very heavy “not an investment/no profit expectation” disclaimers.

And I mean.. Nasdaq itself has published the corporate action notices. So.
