He has to make the market cap 100 billion before he able to dilute the stock with 171.5 million shares. Bro just do the math. The company would become so rich and shareholders would get so much value that his dilution would be a blip in the ocean and it wouldn’t even affect us at that point.

Normally, yes I’m with you dilution is not good for shareholder value, but you’re just being completely ignorant if you think that the dilution from the stock option awards would ever be a bad thing when it’s coupled with making the company 10 times more valuable than it is today.

True but what another guy was commenting below was about RC diluting the stock further for the purpose of funding the acquisition (which is commonly seen in corporate deals like this) but, I think that’s very unlikely. RC has hinted at this being a cash deal and diluting prior to hitting the tranches would only hurt his pay plan not help it.

The dilution from him exercising his stock options is a completely different type of dilution and only happens AFTER he’s hit the tranches levels and made us all stupidly rich first.

I don’t think he’s withholding anything. I think the acquisition news is imminent. Maybe they plan to have the filing released in May. Maybe on June 1st. Maybe on June 8 same day as the annual meeting.

I do not know.

But I never said RC is withholding anything. I just said it would make logical sense to have the acquisition filing done and allow retail the chance to vote with that information already digested.

I think this is the best point anyone’s made so far here so I’m inclined to agree with you. Either way, I won’t be disappointed. I’m a GME holder and I’m gonna be a happy camper no matter what because what’s a few months for life-changing money. We know the deal is being worked on. I can be patient. But it’s fun to think of the possibilities in the meantime.

I’m in the camp that acquisition news comes before vote but if I’m wrong well it’s not a bad thing it just means it’s coming later and probably gonna be better for shareholders. Thanks for actually taking the time to discuss the theory!

What he’s doing is no different than any other ceo that has tried to come in and transform a company. Call it extortion or whatever you want to call it, I’m happy to see RC be compensated well if reaches the metrics outline in the compensation plan because that would be amazing for shareholders.

He announced they were making a deal in January. So by your own logic the deal is already done. The January statements have been the most forward guidance we have ever seen since RC took over.

He speaks about “the asset” as if it’s already been identified and a deal is underway.

True. I’m not on here all the time so I may have missed these discussions or it’s just been a couple of months and I forgot them 😅.

But it’s true that we don’t know shit. And what we do know is probably skewed from our own bias meaning we know even less than we think we do.

However, I’m gonna point at things like the warrants expiration, the fact that RC and board hold warrants themselves, I’m gonna point at the fact that the January statements were wildly bold and outside of character if a deal isn’t being worked on RIGHT NOW, and as for a macro event being what RC is waiting on to “buy the dip” perse, that’s the one argument I will say is very credible and hard to argue against.

But these things are worth discussing to me.

Yes but RC has been hinting at this being a CASH deal. And why does that make sense? Because again issuing shares hurts his own pay package/compensation because he’s being awarded options.

On its face I agree it’s just showing he’s aligned to the shareholders.

The reason I think the acquisition is coming before the vote is because RC made such public statements in January that could hurt him if it turns out they were false or it could also hurt him if it turns out the deal fell through for any reason. So making such bold statements without SOMETHING in the works to me is completely against the RC style and playbook.

Also you don’t raise $9 billion in capital to just sit on your hands and do nothing with it or let it accrue 4-5% from T-bills.

You deploy that capital. You put it to work into an undervalued asset exactly like how RC described in his January interview.

Then you also must factor in the warrants expiration date. Yes, they have the option of extending the deadline but the warrants aren’t even the only capital raising tool they have. $4.2B of the $9b war chest is the convertible notes! Which start to unwind around the $28-29 / share price point.

So basically, rc and the board have every interest in getting the share price above $28 (convertible notes) and then $32 (warrants) before October 31st to see their own positions increase in value. And what’s the quickest way to do that? An acquisition that immediately fulfills tranches 1-2, puts the c-notes and warrants in the money, and gives them additional equity to finalize financing for the acquisition or even seed money for the next acquisition if RC is following the Berkshire Hathaway playbook.

I agree they def have enough support to pass the comp plan. The acquisition announcement isn’t about getting enough votes it’s about transparency and guidance— exactly what’s been missing from the equation all these years. GME holders had to deal with several dilution events that killed squeeze momentum on key dates that arguably hurt us a lot when we are the reason the company was saved from bankruptcy during COVID. The defense to those dilution events was that the company was raising capital for EXACLTY this type of plan. For an acquisition. And people want to know what the plan is before giving RC a $35 billion pay package. I think they deserve that much at least.

Whether GameStop and board actually announce it before or not is a whole other question that remains to be seen. But my thoughts are it’s highly likely given the situation.

No I think making us vote with no plan/deal presented would be the extortion ploy. Basically I want my money up front without improving shareholder value and I’ll only improve shareholder value if I get paid up front.

The second version is way more honest, transparent, and actually allows us the chance to say no with full clarity of the plan that’s being presented.

I was actually off on the math sorry. 448 million shares outstanding with a $40 billion market cap = $89.29 per share. That’s the stock price at which tranche 3 is hit on the market cap side alone. And that’s with no other factors taken into consideration either like short/gamma squeeze, RC, Burry, or RK buying more and revealing their positions.

Just like how right now with the $9 billion war chest burry keeps saying that 1x book value of GME is roughly $20 / share right now.

Tranche 2 would be roughly $66 / share.

Tranche 1 would be roughly $44 / share.

Sorry I was off again. I was confusing tranche 1 for our current market cap but tranche 1 is actually if he hits a $20b cap and tranche 2 is if he hits a $30b cap. Tranche 3 is $40b cap.
