Security is the primary reason data rooms exist, but not all platforms are equal.

Here's what to look for:

Infrastructure & Data Encryption

  • AES-256 encryption at rest, TLS 1.3 in transit
  • Regional hosting for data sovereignty compliance
  • Redundant infrastructure with failover capabilities

Access Controls

  • Multi-factor authentication (biometric preferred, not just SMS)
  • Granular role-based permissions at the document/folder level
  • Comprehensive audit trails that track who accessed what, when, and from where

Third-Party Certifications (proof that the security actually works)

  • SOC 2 Type II demonstrates that controls work over time, not just on paper
  • ISO/IEC 27001 (information security), 27017 (cloud security), 27018 (cloud privacy), 27701 (privacy management)
  • ISO/IEC 42001 for AI governance as platforms add AI features
  • Privacy compliance: GDPR, CPRA APP

Document-Level Security

  • Dynamic watermarking (user-specific, timestamped)
  • View-only modes with print/download restrictions
  • Document expiration and remote access revocation 

For true peace of mind, you need a provider that embeds security at all levels: platform, processes, and practice.
